Endon Lighting Ltd is committed to ensuring that its customers

assisted by the application of a programme of continuing self
improvement with the ultimate aim of getting it ‘right first time,

OUTDOOR LIGHTING
Cast aluminium, stainless steel and nylon fibre products have a
3 year guarantee against corrosion. These guarantees are null
and void if products are installed where there is salt, fertilisers and
chemical pollution in the air.
DIMENSIONS
All measurements are in millimetres, are approximate and include
chain (unless stated), ceiling cup and glass. All table / floor lamps
include the shade dimensions, except where indicated.
DIMMER SWITCHES
A dimmer switch is a third part accessory and compatability is not
guaranteed with Endon products. These notes are for guidance
only. For further advice, please contact a qualified electrician or the
manufacturer of the Dimmer Switch you intend to use.
Do not use dimmer switches for tubular fluorescent lamps, energy
efficient replacement compact fluorescent or LED lamps. The
dimmer switch will eventually burn out if used for these
applications!
Products incorporating Integral Low Voltage Electronic /
Toroidal Transformers.
We do not generally recommend dimming these products, but if
dimming is necessary, then a specialised dimmer switch may be
required. Please consult a qualified electrician or dimmer
manufacturer.
Products Using Main Voltage Halogen Bulbs (GU10, G9, ECO
halogens and Linear Halogen Lamps).
When using halogen lamps make sure that the dimmer is rated with
at least twice the total wattage of the lamps to be dimmed, eg if
using 3 x 50w GU10 halogen (150w), then make sure the dimmer is
rated at 300w. See table below.

Dimmer switches must not be overloaded.
Some dimmer switches are designed to run warm and it is quite
usual for the front plate to reach temperatures of
approximately 50 degrees Celsius during normal operation.
It is also quite normal to hear a slight buzzing coming from the
dimmer switch in operation.
ENERGY SAVING EQUIVALENT INFORMATION
Where reference is made to ‘energy saving equivalent’, this merely
indicates that energy saving lamps such as CFL or LED exist, which
provide a similar light output as the listed incandescent lamp.
However due to the ever changing design of such lamps, it is not
possible to guarantee that a particular energy saving version of
such a lamp will physically fit into the particular light fitting. It is
recommended that the customer seeks advice from their retailer
regarding this.

51. third party’s intellectual property rights arising out of or
in connection with the seller’s use of the specification.
This clause shall survive termination of the contract.
11. RETENTION OF TITLE
11.1 In spite of delivery having been made, property in
the goods shall not pass from the seller until full payment
of the price and all other sums owed by the buyer to the
seller in cleared funds by the buyer.
11.2 Until payment in full for the goods, the buyer shall
hold the goods on a fiduciary basis as bailee for the seller.
The buyer shall store the goods separately from all other
goods in its possession and marked in such a way that
they are clearly identified as the seller’s property.
11.3 Whilst the buyer has the right to dispose of the
goods in the ordinary course of business on a bona fide
sale without notice to the seller’s rights hereunder, the
entire proceeds of sale or otherwise of the goods shall
be held in trust for the seller until payment in full for the
goods.
11.4 Until payment in full for the goods the buyer
hereby grants to the seller the right to enter any
premises where the goods are stored in order to
re-possess or inspect them.
11.5 The buyer appoints the seller as his agent with full
authority to execute on his behalf any document or
instrument which may be required in order to perfect the
seller’s title and interest in the goods.
11.6 The buyer shall not be entitled to pledge or in any
way charge by way of security for any indebtedness any
of the goods which remain the seller’s property, but if the
buyer does so all monies owing by the buyer to the seller
shall (without prejudice to any other right or remedy of
the seller) forthwith become due and payable.
12 BREACH AND INSOLVENCY
If the buyer breaches any condition of these conditions
or the contract or becomes subject to an administration
order or the buyer becomes bankrupt or has a receiver
appointed for or distress is levied on any part of its assets
or business or goes into liquidation or makes any
composition with its creditors, or ceases or threatens
to cease to carry on all or substantially the whole of its
business, the seller shall be entitled (whether in respect of
this contract or any other) to:
12.1 withhold any further deliveries to the buyer and/or
cancel the contract without any liability;
12.2 appropriate any payments made by the buyer to
such of the goods (whether supplied under this contract or
any other) as the seller shall think fit;
12.3 immediate payment of all such sums whatever
owing by the buyer to the seller notwithstanding any
previous agreement to the contrary; and/or
12.4 exercise any of its rights pursuant to Clause 11.
13 FORCE MAJEURE
The seller shall not be liable for any default in its
obligations under this contract due to any event such as
(but not limited to) an act of God, war, strikes, lock-outs or
other industrial action, difficulties in obtaining labour or
parts, governmental or other restrictions or regulations or
other event beyond the reasonable control of the seller.
14. GENERAL
14.1 All disputes arising out of or in connection with the
contract shall be governed by English law and subject to
the exclusive jurisdiction of the courts of England.
14.2 The contract and the rights granted under the
conditions shall not be assigned by the buyer without the
prior written consent of the seller. Any assignment or
purported assignment by the buyer shall be wholly void
and ineffective unless made in conformity with this
condition.
14.3 Any notices must be in writing and may be
delivered by hand, first class post, special delivery post,
fax or email, addressed to the recipient at its registered
office or to any other address, fax number or email address
as notified in writing to the sender by the other party.
14.4 No term of this contract shall be enforceable under
the Contracts (Rights of Third Parties) Act 1999 by a
person who is not a party to this contract.
14.5 The buyer shall keep confidential any information
they may acquire about the seller and shall not use the
information for any purpose other than to perform its
obligations under this contract and will ensure that its
officers and employees comply with the provisions of this
clause.

6 WARRANTY CLAIMS & EXCLUSIONS
6.1 The seller warrants that the goods will correspond
with their description at the time of delivery.
6. 2 Glass breakages and shortages must be notified in
writing within three days of receipt, otherwise
responsibility cannot be accepted. Damaged goods
must be notified in writing within 10 days of receipt. The
seller’s liability shall be limited to, at the seller’s option,
replacing the damaged goods or refunding the price of
the damaged goods. Under no circumstances shall the
liability of the seller whether in contract, tort (including
negligence) breach of statutory duty or otherwise exceed
the price received for the sale of the goods. Replacements
for damaged goods will be charged and credit issued
on the return of the damaged goods to the seller in the
original packaging. The seller will not accept returned
goods without prior written agreement and the issuance
of an authorisation number by the seller. Goods returned
without such prior agreement and authorisation number
will not be credited by the seller who will not be liable
for any costs involved. Any goods returned without prior
written agreement and authorisation number may at the
option of the seller be returned to the buyer for which an
additional carriage charge may be made.
6. 3 Nothing in these conditions shall limit or exclude the
seller’s liability for fraud or fraudulent misrepresentation
or for personal injury or death caused by its negligence or
for any matter in respect of which it would be unlawful for
the seller to exclude its liability.
6.4 Subject to clause 6.3, the seller shall under no
circumstances be liable to the buyer whether in contract,
tort (including negligence), breach of statutory duty,
or otherwise for any loss of profit or any indirect or
consequential loss (including, without limitation, economic
loss, loss of business, depletion of goodwill or similar)
howsoever caused.
6.5 Save as expressly provided in these conditions all
terms, conditions and warranties (whether implied by
statute or otherwise or made expressly) whether by the
seller or its servants or agents or otherwise relating to
the quality and/or fitness for purpose of the goods are
excluded.
7. CARRIAGE
Carriage and packing is free for UK mainland
deliveries provided net invoice value is above the current
minimum invoice value (excluding VAT) as published from
time to time by the seller and obtainable upon request.
For invoices that do not meet the current carriage paid
value or for deliveries by carrier (at the buyer’s request)
carriage and handling will be charged. All goods
forwarded at the buyer’s special request by a third party
are at their own risk.
8. PRICES
8.1 Whilst every endeavour will be made to deliver at the
prices quoted, the seller reserves the right to invoice at the
price ruling at the date of delivery. The price is exclusive
of VAT which shall be due at the rate ruling at the date of
the seller’s invoice.
8.2 The buyer shall pay all amounts due under the
contract in full without any deduction or withholding
except as required by law and the buyer shall not be
entitled to assert any credit, set-off or counterclaim
against the seller in order to justify withholding payment
of any such amount in whole or in part. The seller may at
any time, without limiting any other rights or remedies
it may have, set off any amount owing to it by the buyer
against any amount payable by the seller to the buyer.
9. PRODUCT INFORMATION
Although the seller shall use its best endeavours to ensure
that the information contained in the seller’s catalogue is
correct at the time of going to press, the seller shall not be
under any liability for any damage, loss or expense
resulting from any error or omission contained in the
seller’s catalogue. All measurements given are in
millimetres and are approximate.
10. DESIGN CHANGES AND INTELLECTUAL PROPERTY
10.1 The seller’s policy is one of continuing development
and improvement. Consequently, the seller reserves the
right to change or amend specifications without prior
notice.
10.2 No right or licence is granted to the buyer in respect
of the intellectual property rights of the seller except the
right to use, or re-sell the goods in the buyer’s ordinary
course of business.
10.3 To the extent that the goods are to be manufactured
in accordance with a specification supplied by the buyer,
the buyer shall indemnify the seller against all liabilities,
costs, expenses, damages and losses (including any direct,
indirect or consequential losses, loss of profit, loss of
reputation and all interest, penalties and legal and other
reasonable professional costs and expenses) suffered or
incurred by the seller in connection with any claim made
against the seller for actual or alleged infringement of a
DEFINITION CLAUSE
1.1 The “seller” means Endon Lighting Limited
(company number 03626838).
1.2 The “goods” means all items which the buyer agrees
to buy from the seller.
1.3 The “buyer” means the person who buys or agrees to
buy the goods from the seller.
1.4 The “contract” means a contract for the sale of
goods by the seller to the buyer based on these
Conditions of Sale.
1.5 The singular shall include the plural and vice versa.
Headings are for convenience only and do not affect
the construction and/or the interpretation of these
conditions.
2. FORMATION OF CONTRACT
2.1 Orders are only accepted from persons acting in the
course of business subject to these Conditions of Sale and
the seller shall not be bound by any other terms, written,
oral or implied, or which are conditions customary in the
trade and whether contained in the buyer’s order forms or
not. These conditions shall apply unless expressly varied
by the seller in writing.
2.2 The order and these Conditions of Sale constitute
the entire agreement between the parties.
2.3 Failure by the seller at any time to require the perfor-
mance of any provision of the contract shall in no manner
affect the rights of the seller to enforce such provision at
a later time.
2.4 No order is deemed to be accepted nor any contract
made with the seller until the seller has accepted the
order at which point the contract shall come into
existence. No order shall be cancelled either in whole or
in part without the seller’s written consent.
2.5 A quotation for the goods given by the seller shall
not constitute an offer. A quotation shall only be valid for
a period of 14 days from its date of issue.
2.6 Any samples, drawings, descriptive matter, or
advertising produced by the seller and any descriptions
or illustrations contained in the seller’s catalogues or
brochures are produced for the sole purpose of giving an
approximate idea of the goods described in them. They
shall not form part of the contract nor have any contrac-
tual force and this is not sale by sample.
2.7 In addition to the rights and remedies contained in
these conditions, the seller shall have all the rights and
remedies afforded to a seller pursuant to any rule of law.
All rights and remedies of the seller under the conditions
shall be cumulative and not in the alternative.
3. TERMS
Unless otherwise agreed in writing by the seller, accounts
are net and payment is due on the last day of the month
following that in which the goods were despatched. Time
for payment shall be of the essence. Interest on overdue
invoices shall accrue from the date when payment
becomes due until the date of payment at a rate of 2%
per annum above Barclays Bank Plc base rate from time
to time in force as well after as before any judgment.
4. DELIVERY
4.1 Although the seller shall make every effort to deliver
on the date in the contract, time for delivery shall not be
of the essence and the seller shall not be liable for any
loss or damage resulting from any delay in delivery.
4.2 The seller may deliver the goods by separate
instalments. Each separate instalment shall be invoiced
and paid for in accordance with the contract provisions.
Failure of the buyer to pay for any one or more of the said
instalments of the goods on the due dates shall entitle
the seller:
4.2.1 without notice to suspend further deliveries of the
goods pending payment by the buyer; and/or
4.2.2 to treat the contract as repudiated by the buyer.
4.3 If the buyer refuses to accept delivery, the goods
may be stored by the seller at the buyer’s risk and
expense until the buyer accepts delivery
4.4 Acceptance of delivery of the goods will be deemed
conclusive evidence of the buyer’s acceptance of these
Conditions of Sale.
5 DELIVERY AND RISK
The place of delivery shall be at the seller’s premises or
as the seller shall otherwise nominate. If the buyer so
requests and pays the charges provided for in Condition 7,
the seller shall arrange delivery to the buyer, but this shall
be at the buyer’s risk. The risk of loss or damage to goods
shall pass to the buyer when the goods are released by
the seller to the carrier authorised to deliver the goods.
The buyer shall be responsible for all costs of insurance
of the goods from the time that risk of loss or damage
passes to the buyer.
