6. Institutional & Retail Targeting
Launchpad IR has developed a proprietary database of investors that allows us to
identify investors by style, market cap requirements, risk profile, industry
preference, etc. As a result, we have built up a strong and extensive network of
institutional and retail professionals. We carefully target those individuals with
whom we have built a good working relationship, or those that, following intensive
research, have an interest in meeting with company management to learn more
about the organization. In addition, we subscribe to electronic services that allow
us to identify those institutional investors who will be most receptive to investing
the client and taking substantial positions in the stock.
This process is ongoing and involves two steps: the first is identifying the
prospect through our targeting matrix; the second is direct contact with the
institutions and money managers to qualify their interest level and determine
whether a meeting with the clients’ management will be productive.

7. Institutional & Retail Meetings
Once our targeting matrix is complete, Launchpad IR will work to take advantage
of the research by pre-qualifying our targets and scheduling meetings for
management with new investors. Institutions throughout the U.S. that do not hold
stock in the client as well as top-producing brokers at both national and regional
houses will be contacted by Launchpad IR to gauge interest in the client’s stock.
We will then work to coordinate face-to-face meetings with management for the
most qualified investors. Any meeting that Launchpad IR sets up for the client will
be pre-qualified and have the potential, following management’s presentation, to
turn into an investing opportunity.
Following each investor meeting, Launchpad's financial and investor relations
staff will follow up to ascertain whether additional information is needed, stock has
been bought or sold, and to obtain feedback. The feedback we receive from
money managers about the client is then prepared and sent to company
management in the form of a follow-up report. This report includes our
recommendations for changes and enhancements to the overall communications
program, when necessary. Launchpad IR will coordinate all the meeting logistics
and a partner or managing director is on-site for each meeting, whether it is a
one-on-one session or a small group presentation.

8. Investment Research Program
Companies served by Launchpad IR are young innovative businesses,
new to the U.S. markets. As such they are underserved by large
traditional research firms, and their stock prices may not reflect their fair
market value.
Launchpad research reports provide in-depth financial analyses of
clients’ businesses, including a quarterly review and analysis of Earnings
and Operations and an Industry and Peer Analysis, as well as an
overview of the company, its business strategy, products and markets.

9. Reverse Mergers
Reverse mergers have become the method of choice for well structured, innovative small companies
to go public in order to finance their growth. Reverse merger process enables businesses to go
public in less time and at less expense than the traditional Initial Public Offering (IPO).
However, there are other important differences – most notably the fact that a reverse merger is not a
capital-raising transaction. As a result, most firms must simultaneously raise money to support their
operations and the increased costs of being a public company.
Launchpad IR can help clients with each step of the process:
• Finding appropriate "shells" - public companies that for whatever reason no longer have active
business operations or significant assets.
• Working with experienced law firms to structure the merger of your private company into the
public shell.
• Identifying an investment bank or private group that will take the lead in developing the

• Obtaining a new listing on the AMEX or the Nasdaq's OTCBB.

While reverse mergers once had an unsavory reputation, tighter SEC regulations now compel
participating companies to provide detailed disclosures about their businesses. Today, this cost- and
time-effective method of going public is a well regarded strategy for small companies positioned and
prepared for rapid growth.

Stanley Wunderlich, Principal
Mr. Wunderlich brings to his clients nearly 40 years of experience in Wall Street
activities. A specialist in corporate development and the formation of triangular reverse
mergers, he has participated in numerous initial public offerings, private placements of
equities and institutional private equity offerings. He is noted for the close relationships
he has forged with key brokers/dealers, venture capitalists, institutional investors,
research analysts, media personnel and other global private equity source. He holds a
B.A., L.L.B. and most major credits toward his M.B.A. in Executive Management.
Todd Fromer, Principal
Mr. Fromer specializes in the implementation of proactive investor relations disclosure,
outreach and crisis communications programs for micro and small cap companies. He
has led successful corporate communications campaigns for over 100 public growth
companies and has provided strategic communications counsel to hundreds of C-level
executives. He is a member of the National Investor Relations Institute (NIRI) and a
recipient of the International Association of Business Communicators’ 2001 ACE Award
for Investor Relations.
