• American Midstream Partners (“AMID”) and JP Energy Partners (“JPEP”) have executed a merger
agreement whereby AMID will merge with JPEP in a unit-for-unit exchange
• Transformational combination creates diversified partnership with ~$2 billion enterprise value
Transaction improves financial position, consolidates GP ownership, accelerates growth trajectory
• Combines JPEP general partner interest owned by ArcLight affiliates into AMID general partner
• Increased scale enhances access to capital and improves ability to pursue accretive acquisitions; pro-
