SAP Acquires Crossgate Enterprise Data Exchange Service

5. SAP announced it intends to buy Crossgate, a company based in Munich, Germany that provides
electronic data exchange services to enterprises that need secure and reliable channels to
exchange documents and data with multiple trading partners.
SAP plans to buyout Crossgate a business-to-business Electronic Data Exchange service that
allows trading partners to securely transmit critical business information including production
order, specifications or invoices. Financial terms of the deal were not disclosed.
Crossgate, which was founded in 2001 and is based in Munich, Germany, allows enterprises to
set up dedicated secure data links with trading partners, clients and supplies regardless of their IT
capabilities. Crossgate’s service enables currently enables 40,000 business partners in many
different industries to security exchange documents and data, according to SAP.
Electronic data exchanges have been used for many years, even before the explosive growth of
the Internet in the 1990s, to provide a secure data exchange channel between trading partners.
Electronic data exchanges are often used by major manufacturers, such as auto makers, aircraft
builders and defense industries that need to exchanges massive amounts of data with an army of
suppliers.
While the Internet has help simplify the implementation of electronic data exchanges, these
systems are used in supply chain and trading applications that transmit a huge volume of data.
These are applications where casual links over e-mail or through Web applications are neither
secure or reliable enough to handle the traffic volume.
Through this acquisition, SAP will be able to integrate the Crossgate electronic data exchange
with SAP portfolio of Enterprise Resource Planning applications. The Crossgate offering
includes e-invoicing services that cover the entire process of inbound and outbound invoices,
including signatures and compliance monitoring that can be integrated with integrated with
customers' backend systems and finance processes, according to SAP.
"Companies live in an evolving global network of customers and partners, and technology from
Crossgate allows them to interact in new ways at the enterprise level the same way that social
networking has transformed the way people interact as individuals," Peter Maier, general
manager, head of Line of Business Solutions, SAP AG said in a statement.
"By acquiring Crossgate's highly differentiated solution, we help our customers extend their end-
to-end business processes running on SAP to their customers and partners. As a result, thousands
of SAP customers will join the network to exchange information easier, execute transactions
faster and collaborate better," the statement said.
SAP became a minority investor in Crossgate in 2008. Soon after that SAP signed a reseller
agreement to market the Crossgate B2B Content Engine as the SAP Information Interchange
Application by Crossgate. More recently, SAP agreed to resell SAP E-Invoicing for Compliance
application by Crossgate, which allows companies to send and receive digitally signed PDFs or
Electronic Data Interchange invoices.
6. In his statement about SAP’s acquisition of his company, Stefan Tittel, Crossgate CEO and
founder suggested that electronic data exchange will take on aspects of social networking
through business applications that let trading partners build relationships.
"With combined social network paradigms and service extensions of business applications, SAP
and Crossgate now have the potential to change the face of business networks and deliver a new
level of collaboration to SAP customers and their business network partners, Tittel said in his
statement. “Our executive management team is excited about the possibility of bringing the
Crossgate mission to the next level together with SAP. Our customers will experience business
networking that is simple, compelling and efficient," Tittel’s statement said.
SAP acquires Crossgate, eyes B2B e-commerce networks

Summary: SAP was already an investor in Crossgate. Now it owns the B2B e-commerce
network provider.
SAP said Tuesday that it will acquire Crossgate, which provides hosted B2B integration services.
With the move, SAP is looking to provide a market to connect customers to business partners. In
a nutshell, Crossgate builds services that allow multiple trading partners to exchange data even if
partners have different technology platforms.
In a statement, SAP said that it is looking to automate processes and streamline enterprise e-
commerce.
Sound familiar? It should. SAP’s acquisition of Crossgate appears to be a direct threat to Ariba.
Jason Busch at the Spend Matters blog noted that SAP was becoming increasingly competitive
with Ariba. Busch argued that SAP and Oracle are likely to build in transactional connections
into their suites.
Crossgate, based in Munich, Germany, is already a SAP partner. SAP invested in Crossgate in
2008 and resells its content engine. Overall, Crossgate has about 40,000 business partners that
are linked together via e-invoicing services.
Terms of the Crossgate deal weren’t disclosed. The acquisition is expected to close Nov. 1.

7. SAP had a few interesting developments today. First of all, it acquired Crossgate for an
undisclosed amount, a company that offers hosted business-to-business integration services.
This means Crossgate customers can integrate their networks with partners to ensure secure file
and data exchange. The firm is also based on Germany, just like SAP, and claims its platform
has been deployed by more than 40,000 clients.
Crossgate differentiates itself from more traditional means of integration and collobortion by
offering a more affordable solution, according to the company, that also packs some interesting
features such a the ability to send inbound and outbound invoices.
Here’s what SAP said in a release:
“The acquisition of Crossgate follows SAP’s strategy to complement existing applications and
solutions with smart purchases that offer innovative technologies and capabilities while
maintaining its successful organic growth track record.”
Bill McDermott, co-CEO of SAP, further emphasizes this point in an interview with
Bloomberg’s Andrea Catherwood. McDermott noted that his company is seeing its key markets
have been growing “in solid double digits,” and even triple digits in some places. He also
highlighted that his company is focusing on three so-called mega trends: the mobile worker, big
data, and cloud.
The last SAP update today comes from the courtroom. Oracle sued the German business
software maker in claims that one of its subsidiaries illegally accessed and downloaded
copyrighted material from its servers. It was initially decided that SAP would pay Oracle $1.3BN
in damages, but now that this figure shrunk to only $272 million, it seems that the former is
making some gains. Today Judge Phyllis Hamilton in Oakland, California asked Oracle to pull a
request to appeal on the court ruling that overturned the massive $1.3 billion awarded at first. It
seems that SAP won the latest round of this legal battle.

Its technology enables companies to fully network with trading partners via electronic data
exchange (EDI).
8. SAP says the acquisition will allow it to deliver rapid value to customers looking to collaborate,
share data and automate processes that link customers and.
Crossgate also boasts e-invoicing services which cover signatures, compliance monitoring,

SAP to offer its customers Crossgate’s B2B Content Engine as an SAP solution extension.
SAP has also been reselling SAP E-Invoicing for Compliance application by Crossgate, which
allows companies to send and receive digitally signed, compliant PDFs or EDI invoices
electronically.

SAP gobbles Facebook-for-biz firm -Enterprise software giant gets social
Anna Leach, The Register
September 20, 2011

A Munich-based company that provides secure "social networking" for business has just been
snapped up by German enterprise software giant SAP.
Crossgate offers a social networking setup for its customers, along with secure communications
channels that allow users to transfer documents and data.
Users can join the network, set up Facebook-style business "profiles" and hook up with trading
partner "friends"; the company claims this eliminates the need for costly point-to-point
integration when handling sensitive information.
Crossgate touts its e-invoicing services as an "innovative and secure solution" covering the entire
process of inbound and outbound invoices, including signatures and compliance-monitoring,
which is integrated with its customers' back-end systems and finance processes.
Peter Maier, general manager and head of Line of Business Solutions, SAP, outlined the
advantages of the buy-out for SAP's customers:
Companies live in an evolving global network of customers and partners, and technology from
Crossgate allows them to interact in new ways at the enterprise level the same way that social
networking has transformed the way people interact as individuals.
Crossgate serves 3,000 customers in North America, Europe and the Middle East through offices
in the United States, Germany, UK, France and Italy. ®
9. SAP Acquires Crossgate for Business Social Networking
Vangie Beal, enterpriseappstoday
September 20, 2011

Crossgate's technology lets companies integrate and network with trading partners, clients and
suppliers.
Looking to provide customers with options to connect with their business partners, SAP (NYSE:
SAP) has announced plans to acquire business-to-business (B2B) integration provider Crossgate.
Headquartered in Munich, Germany, Crossgate lets companies integrate and network with
trading partners, clients and suppliers, allowing electronic data exchange with any business
partner regardless of their technical capability.
Companies can connect with any trading partner by joining the network once and linking with
pre-built business partner profiles. The full-service solution eliminates the need for costly point-
to-point integration.
The acquisition of Crossgate follows SAP's strategy to complement existing applications and
solutions with acquisitions that offer innovative technologies and capabilities.
"Companies live in an evolving global network of customers and partners, and technology from
Crossgate allows them to interact in new ways at the enterprise level the same way that social
networking has transformed the way people interact as individuals," said Peter Maier, SAP's
general manager and head of Line of Business Solutions. "By acquiring Crossgate's highly
differentiated solution, we help our customers extend their end-to-end business processes
running on SAP to their customers and partners."
As a result of the acquisition, SAP said it will enable networking at the enterprise level,
providing an easy way for trading partners to collaborate, share data and automate processes that
link customers and suppliers for streamlined B2B e-commerce.
SAP and Crossgate have a partnership history as part of the SAP ecosystem. In October 2008
Crossgate received an investment from SAP, followed by a global reseller agreement that
allowed SAP to offer its customers Crossgate's B2B Content Engine as an SAP solution
extension under the product name SAP Information Interchange application by Crossgate. More
recently, SAP agreed to resell and market the SAP E-Invoicing for Compliance application by
Crossgate, which allows companies to send and receive digitally signed, compliant PDFs or EDI
invoices electronically.
"Crossgate is extremely excited that SAP, our long-term partner, has acquired our company and
solutions," said Stefan Tittel, CEO and founder, Crossgate. "With combined social network
paradigms and service extensions of business applications, SAP and Crossgate now have the
potential to change the face of business networks and deliver a new level of collaboration to SAP
customers and their business network partners."
10. SAP Acquires Crossgate - Tightening the Ecosystem
Peter Bernstein, TMC Net
September 20, 2011
http://sap-news.tmcnet.com/sap/articles/220426-sap-acquires-crossgate-tightening-
ecosystem.htm
The vision conjured up by most IT departments when the name SAP AG was mentioned used to
be that it was a great enterprise resource planning (ERP) applications software provider whose
products and services were time-consuming to implement, expensive to maintain, upgrade,
enhance and integrate with other applications, and difficult to use across supply and value chains.
However, SAP’s (News - Alert) September 20 announcement of its acquisition of business-to-
business (B2B) integration provider and long-time trading partner Crossgate demonstrates that
even large entities are capable of remaking themselves to accommodate changes in today’s
dynamic global economy. This includes strategic acquisitions, like this one, of a partner in which
SAP has been an investor since 2008, that tighten and enhance ecosystems
In the press release announcing the deal, it is, in fact, noteworthy that the acquisition is in line
with SAP’s focus on creating a “portfolio of solutions that create rapid value for customers
worldwide.” This does that and more. Crossgate solutions enable companies to integrate and
network with trading partners, clients and suppliers, allowing electronic data exchange with any
business partner regardless of their technical capability. Headquartered in Munich, Germany,
Crossgate helps more than 40,000 business partners across multiple industries to securely
exchange important documents and data by connecting companies with their trading partners for
faster, more efficient B2B e-commerce.
As highlighted in the release, “As a result of this acquisition, SAP will enable networking at the
enterprise level, providing an easy way for trading partners to collaborate, share data and
automate processes that link customers and suppliers for streamlined B2B e-commerce.
Crossgate’s value to SAP
So what does Crossgate do? For the uninitiated, Crossgate helps companies connect with any
trading partner by joining the network once and linking with prebuilt business partner profiles
eliminating the need for costly point-to-point integration. Its e-invoicing services offer an
innovative and secure solution covering the entire process of inbound and outbound invoices,
including signatures, compliance monitoring, integrated with customers' backend systems and
finance processes.
As stated, the SAP and Crossgate relationship is not new. They have a global reseller agreement
where SAP customers can use Crossgate's B2B Content Engine as an SAP solution extension
named SAP® Information Interchange application by Crossgate. And, recently, SAP agreed to
resell and market the SAP® E-Invoicing for Compliance application by Crossgate, which allows
companies to send and receive digitally signed, compliant PDFs or EDI invoices electronically.
Peter Maier, general manager, head of Line of Business Solutions, SAP AG stated:
11. “Companies live in an evolving global network of customers and partners, and technology from
Crossgate allows them to interact in new ways at the enterprise level the same way that social
networking has transformed the way people interact as individuals…By acquiring Crossgate's
highly differentiated solution, we help our customers extend their end-to-end business processes
running on SAP to their customers and partners. As a result, thousands of SAP customers will
join the network to exchange information easier, execute transactions faster and collaborate
better."
Stefan Tittel, CEO and founder, Crossgate, added, "With combined social network paradigms
and service extensions of business applications, SAP and Crossgate now have the potential to
change the face of business networks and deliver a new level of collaboration to SAP customers
and their business network partners.”
The acquisition is subject to the approval of the relevant antitrust authorities, and SAP says it
will provide more details on its plans for Crossgate when the deal closes, which should be by
November 1, 2011. Terms and purchase price of the transaction have not been disclosed
By adding electronic data exchange networking, focused on the transactional and secure
document transmittal levels, this move is an important part of SAP’s own transformation as it
positions itself as a one-stop ecosystem shop for all things that have to do with the planning and
execution of business operations. This is an important link in closing off opportunities for
competitive in-roads. It will provide customers important value-added in terms of being able to
leverage the tighter integration of ERP and CRM with transactional functions in order to increase
efficiency and effectiveness.
As value creation for competitive advantage moves from an era of single company proprietary
solutions as the catalyst for success to one dominated by the formation of defensible and vibrant
ecosystems, SAP’s decision to make a key part of its ecosystem a wholly-owned subsidiary is a
trend to watch. This was an important part of the puzzle.

SAP acquires B2B networking hub Crossgate

September 21, 2011
http://www.v3.co.uk/v3-uk/news/2110909/sap-acquires-b2b-networking-hub-crossgate
12. SAP has acquired German business-to-business e-commerce hub Crossgate to allow customers
to collaborate and share data more effectively with partners, suppliers and clients.
Crossgate is described as a business social network, but differs from the likes of Chatter, Jive and
Yammer as it focuses on data sharing between internal business users and their external partners.
"It's basically one of those B2B commerce hubs that were so popular in 2000," MWD Advisors
analyst Angela Ashenden told V3.
"Crossgate is different to the business social networks we are familiar with today as it works at
the operational level rather than the conversational level."
Ashenden suggested that the purchase is partly a competitive move, since IBM recently bought a
similar firm, Sterling Commerce, and Tibco acquired Foresight.
Most importantly, though, SAP has focused recently on fleshing out its supplier relationship
management applications with updates to Supplier Infonet and the firm's Sourcing application.
The new acquisition is likely to bring added value to this focus, Ashenden argued.
Included in the Crossgate portfolio are e-invoicing services that cover inbound and outbound
invoices, including signatures and compliance monitoring. The services can be integrated with
customers' back-end systems and finance processes.
"Companies live in an evolving global network of customers and partners, and technology from
Crossgate allows them to interact in new ways at the enterprise level the same way that social
networking has transformed the way people interact as individuals," said Peter Maier, general
manager and head of SAP's business solutions line.
"By acquiring Crossgate's highly differentiated solution, we help our customers extend their end-
to-end business processes running on SAP to their customers and partners."
The acquisition is subject to approval by the relevant anti-trust authorities, and SAP will provide
additional details about future plans after the deal is completed, which it anticipates will be by 1
November.
SAP and Crossgate have been partners since 2008 when Crossgate received an investment from
SAP.
The two firms then entered into a global reseller agreement that allowed SAP to offer Crossgate's
B2B Content Engine as an SAP solution extension under the product name SAP Information
Interchange application by Crossgate.
SAP recently agreed to resell and market the SAP E-Invoicing for Compliance application by
Crossgate, which allows companies to send and receive digitally signed, compliant PDFs or EDI
invoices electronically.
SAP/Crossgate Targets Ariba in Crosshairs: Will the Best-Run Businesses Run on the SAP
Network?
Jason Busch, Spendmatters.com
13. September 21, 2011
http://www.spendmatters.com/index.cfm/2011/9/21/SAPCrossgate-Targets-Ariba-in-Crosshairs-
Will-the-BestRun-Businesses-Run-on-the-SAP-Network
Earlier this week, SAP announced it was acquiring Crossgate, a key piece of the supplier
network puzzle that the ERP giant is trying to piece together in an attempt to dominate the space
between buyers and suppliers rather than just delivering workflow, compliance and decision
support applications to purchasing managers and frontline buyers that sit behind the enterprise
firewall. In many ways, the announcement represents a surprising shot across the bow of the
Ariba network boat, but it's unclear whether or not the move will accelerate the pace at which
SAP is getting large Ariba customers to defect in both the eProcurement and invoicing areas.
Later today, we'll investigate this specific topic in more detail, so check back.
Regarding the subject at hand, in the past two years, Ariba has done a stellar job of convincing
Wall Street that network business models that connect buyers and suppliers in a one-to-many
fashion to complete corporate buying and selling transactions are worthy of exemplary
valuations. But in reality, supplier networks -- including the Ariba network -- are exceptionally
valuable to users, not shareholders, many of whom don't understand the business model that
makes up the paper they're holding.
We've written hundreds of thousands of words about this topic over the years. However, the
challenge for Ariba is that the core model for transactional connectivity alone is not defensible;
especially in a market a provider believes it has more pricing power than its customers believe
(which explains why Ariba is accelerating its move into the supplier discovery space, among
other areas). In reality, there isn't really a secret sauce that prevents others from building
competitive models and undercutting existing market price points, at least when it comes to P2P
connectivity (for PO, invoice, ASN and related document exchange). This is precisely what SAP
has done in announcing the acquisition of Crossgate on Tuesday.
In positioning the deal, SAP has taken a lot of the same language Ariba uses. To wit, "Crossgate
enables companies to fully integrate and network with trading partners, clients and suppliers,
allowing electronic data exchange with any business partner regardless of their technical
capability. As a result of this acquisition, SAP will enable networking at the enterprise level,
providing an easy way for trading partners to collaborate, share data and automate processes that
link customers and suppliers for streamlined B2B e-commerce." Sounds a bit Sunnyvale -- or
would that be Alpheretta-esque? You betcha.
But one thing is missing in the announcement. And that's Hubwoo, the other integral piece of the
SAP supplier network offering (you can read about the specifics of the three- (now two) way
combined solution here, here, and here). Later today, we'll explore how this announcement will
impact the Hubwoo/SAP relationship, offering perspectives from both providers. But without
question, even if it causes no tension for the partners, it will certainly help to eventually create a
more differentiated market network offering with native hooks into SAP for both direct and
indirect spend and global buyer/supplier connectivity, which on the e-invoicing side, requires a
massive amount of localization for tax laws and compliance.
14. How will this offering stack up in the market on a functional level? I previously wrote, "If you
dig into the functional promises of the SAP network that combines Hubwoo and Crossgate, the
similarities between the ASN become even more clear -- and even go beyond, to some extent,
what Ariba has integrated today as part of core network functionality rather than in an
application area. Consider that SAP is bundling a supplier self-registration capability into the
network that allows buying organizations to manage campaigns, find and invite suppliers and
monitor the status of suppliers. Suppliers have the ability to register, providing detailed profile
information as well as interface with ongoing transactional requirements and status updates."
"On the Order to Invoice side, the network offering lets buyers 'enforce process rules' through a
similar workflow configuration to Ariba and other network tools plus the ability for suppliers to
manage transactions in a single hub from order to invoice. For event management, the network
offering includes a range of capabilities including alerting, document tracking and dispute
management/remediation. Underlying the event management framework and architecture are
browser-based and email alerting capabilities, document tracking and additional
workflow/process definitions that users can configure or customize."
In short, as I previously opined, with the offering that incorporates Crossgate as a core
component, "SAP is no doubt creating a network offering that balances market-parity functional
network capability and a level of integration into native back-end systems with a broad supplier
reach that is designed to directly challenge Ariba for network supremacy in the P2P market."
And now with Crossgate soon to be under SAP's firm control, it's likely the battle for network
victory will accelerate. That is, unless SAP decides to push the "game over" button, and pay a
premium for another vendor we all know.

So sollen
