Statement of Confidentiality
This proposal and supporting materials contain confidential and proprietary business information
of Naartjie Multimedia. These materials may be printed or photocopied for use in evaluating the
proposed project, but are not to be shared with other parties.
Terms & Conditions are as follows.
3. 1 Authorization
Customer is engaging Developer for the specific project of maintaining, enhancing, developing and/or
re-developing an existing World Wide Web Site. The Customer will establish a separate contract with
an ISP or Web Hosting provider, or Developer will establish one on behalf of the Customer in which a
separate contract may be required. The Customer hereby authorizes Developer to access this account,
and authorizes the Internet Service Provider to provide Developer with “read/write permission” for the
Customer’s web page directory, cgi-bin directory, and any other directories or programs, which need to
be accessed by Developer for this project.
2 Scope of Maintenance Contract
Examples of what’s included in the Website Maintenance Contract:
Picture Updates – adding, editing and sizing of any pictures adding to the existing website which does
not fall under the scope of the layout or actual design of existing website.
Text Updates – adding, editing and/or removing any text or copy on the existing site including any
articles, reports, contact information and product or service description.
Complete Monthly Backups – Maintain a full, monthly backup of web site through the duration of
this contract.
Functionality – conduct a brief overview of site functionality on a monthly basis to check for broken links
and images, framing issues due to new browser updates, changes caused by latest Wordpress or third
party plug-in updates, broken social media feeds due to changes in API’s and other visual observations.
Certain updates may not always be updated immediately depending on significance of update.
Website Analysis – Analysis and reporting of website traffic, analysis of visitors, and breakdown of
traffic sources. Proper coding must be in place for this function to be requested and can be installed
as an update under this agreement. This service may be an additional charge.
4. The scope of this contract does not include the following;
Re-design of site – the scope of this contract is limited to maintenance and does not allow for
complete or partial redesign of existing site. Developer can advise Customer on any requested work
that falls within these bounds that may require a different contract. We reserve the right to distinguish
between “updates” and “new designs”.
Website Marketing – the scope of this contract does not include making any changes to existing
Meta-tags, Alt-tags, Titles, Keywords or Page Descriptions. These tasks fall under the scope of Search
Engine Optimization or Website Marketing and require a different contract.
Liaise with billing and/or accounting of your hosting and domain service, unless directly provided by
the Developer.
Responsible for errors and omissions contained in Website content provided by the Customer.
Install patches, fixes, updates to operating system or server; install additional software packages
to the operating system or server; install patches, fixes or updates to additional software packages.
Naartjie Multimedia reserves the right to review contract every 6 months.
3 Deadlines
&Deliverables:
Developer will attempt to respond to all maintenance
requests from “Customer” within 24 hours of
receiving said maintenance request on weekdays and
48 hours on weekends, via email or phone or through
HelpDesk. Maintenance requests made after 3:00pm
EST may not be received until the next business day
unless prior arrangements have been made.
Developer will attempt to adhere to all quoted deadlines
for the deliverables in the maintenance requests. In the
event that “Developer” has any issues in delivering on
a quoted deadline, “Customer” will be notified via email
or telephone the reasoning for any change.
5. 4 Maintenance Plans
NAARTJIE MULTIMEDIA offers several different Website Maintenance Plans to choose from. We
offer the Basic Maintenance, Intermediate Maintenance, Advanced Maintenance and Premium
Maintenance Packages. In addition to the packages, we also provide a-la-carte services.
The details of these plans are listed below:
Basic Website Maintenance Plan $135/month
The Basic Website Maintenance Plan will free you from worry about updating your WordPress
installation, plug-ins and social network integration, and will give you a resource for a few quick
questions, keeping your costs low.

30 minutes of phone or HelpDesk support per month
Services Not Included
Recovery of hacked websites is not included in our maintenance plans, as websites can
be hacked at any time and we do not have control over this. We recommend that you use
strong passwords for all WordPress sites and hosting accounts, at all times. However, the
vast majority of Wordpress compromises occur because of lack of updates to the system.
Developer will be updating regularly and so the likelihood of being hacked is significantly
lessened. Does not include any content updating, creating, additions, changes to website
architecture or functionality, or anything out of scope of original agreement. Unused hours
are not transferable to the following month.
6. Intermediate Website Maintenance Plan $195/month
With the Intermediate Maintenance Plan, you can rest assured that your website will remain up-to-
date, PLUS you’ll receive technical support or other site maintenance so you can keep your website
in top shape and working as you need it. These plans allow your site to grow and change with your
business and make room for ongoing improvements.
Some of these improvements could include the following:
Keep your site updated with the latest information
Post photos of recent events, new products, or new employees
Make seasonal changes to keep your content fresh
Change or update new product or service information
Update portfolio or blog pages to reflect your latest activity
Keep your clients informed of the most current news about your business
Make regular updates to your content to assist with your site’s search engine marketing

Up to 30 minutes of website improvements and 30 minutes of consultation per month.
Services Not Included
As with other plans, this does not include any graphic design, copywriting or stock
photography. Any changes to website architecture will be billed at standard agency rates.

7. Advanced Website Maintenance Plan $395/month
With the Advanced Maintenance Plan, you receive all the intermediate level services but with an
increase in allotted maintenance time. You’ll also receive robust Google Analytics reports emailed
to you on a monthly basis that will help you evaluate your business’ online performance.
Some of the data that Google Analytics can help you discover include:
Total visits and unique visitors
Average time on site
Average number of page views
Bounce rate
Geographic data
Top referring sites and social networks
Top keywords
Visitor flow through your site and drop off points
Most viewed pages

8. Premium Website Maintenance Plan $695/month
With the Premium Maintenance Plan, your site will be up-to-date on the back end as well as with
your content by using increased available maintenance time. You’ll also receive a thorough analysis
of your monthly Google Analytics reports and suggestions on how we can improve your website
performance. From the data we can help you evaluate opportunities that can lead to better business
decisions.

Up to 4 hours total of website improvements and 1 hour consultation per month.

Thorough analysis of your Google Analytics data.
Services Not Included

You have the option to assume responsibility for your website and the scripts installed on it.
However, your scripts will need to be kept up to the latest version for security reasons.
Any updates to scripts or content that must be completed will be billed at the hourly rate of $135/hr.

9. Additional Hourly Services
Any additional work outside of the maintenance plan allotment will be billed at the agency rate for
web development at $135/hr.
Any creative or design work or additional account management outside of the maintenance plan
allotment will be billed at the blended agency rate at $100/hr.

6 Technical
6.1 Payment of Fees
Maintenance fees to NAARTJIE MULTIMEDIA are due and payable on the following schedule:
Payment is to be made on the first business day of every period for the contract term of twelve
months, and if not cancelled by client within 30 days prior to contract expiration by written notice
the contract will automatically renew. All payments will be made in US funds only. If for any reason
a payment is late, there will be a 5% late fee added and no maintenance performed for that month
until payment is made. If payment is not received before the 10th of the month, the client will be
in default of maintenance contract and full payment of contract will be required before any further
maintenance can be done or cancellation of contract may be performed.
6.2 Cancellation
In the event Customer wishes to exit this contract prior to its maturity, a “buy-out” in the amount of
one-hundred dollars ($100) or 10% of the remaining total value of the contract (whichever is greater)
plus any other subscriptions or contractually obligated third party fees, can be made to cancel out
the effects of this contract.
13. 6.3 Maintenance Terms
For all maintenance plans or options, the Customer understands the term of the contract to be for
one full year (twelve months), automatically renewable every year unless a written cancellation has
been provided to Developer thirty (30) days in advance of the then active term expiration date.
Maintenance Plans will be paid in advance prior to each period or in full for the year for the amount
agreed upon by the Customer. Customer will be billed for total contract hours regardless of actual
hours used. Hours of contract do not roll over into the next period, nor can they be pulled from the
period ahead. Any additional hours over the contract hours will be billed at the current regular hourly
rate of $135 per hour (subject to change).
Developer reserves the right to terminate this contract at any time for any reason without any prior
knowledge and will do so in writing by electronic mail and/or postal letter to the client.
This agreement includes ensuring of the health of website and other software or programs installed
on Customer’s website. If the Customer or any third party other than Developer or approved
subcontractors attempts to access or accesses the server, or website and makes changes to the
website, database, server or software or scripts on Customer website; time to repair and/or restore the
website, databases or any other script on the Customer website will be billed at the current hourly rate
and is not included in the maintenance plan. The Monthly Maintenance Agreement commences upon
the first of the month from the date the client signs this contract and is in full effect for twelve months.
6.4 Legal Terms
Developer does not warrant that the functions contained in these web pages or the website,
shopping cart, merchant accounts, databases or any other component, software or hardware or
service will meet the Customer’s requirements or that the operation of the web pages and website or
any other component or service will be uninterrupted or error-free.
The entire risk as to the quality and performance of the web pages and website or any other
component or service is with Customer. In no event will Developer be liable to the Customer and/or
Customers or vendors or any affiliates or any third party for any damages, including any lost profits,
lost savings or other incidental, consequential or special damages arising out of the operation of or
inability to operate these web pages or website or services, even if Developer has been advised of the
possibility of such damages.
If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then
that provision shall be deemed severable from this agreement and shall not affect the validity and
enforceability of any remaining provisions. Notwithstanding the location of signing of this document,
the Customer agrees that for purposes of venue, this contract was entered into in Muscogee
County, Georgia, and any dispute will be litigated or arbitrated in Muscogee County, Georgia.
14. 6.5 Warranties and Liability
Customer agrees that any material submitted for publication will not contain anything leading to an
abusive or unethical use of the Web Hosting Service, the Host Server or Developer.
Abusive and unethical materials and uses include, but are not limited to, pornography, obscenity,
nudity, violations of privacy, computer viruses, harassment, any illegal activity, spamming, advocacy
of an illegal activity, and any infringement of privacy. Customer hereby agrees to indemnify and hold
harmless Developer from any claim resulting from the Customer’s publication of material or use of
those materials.
It is also understood that the Developer will not publish information over the Internet which may be
used by another party to harm another. Developer reserves the right to determine what is and is not
pornography.
Developer does not warrant the functions of the site will meet Customer’s expectations of site traffic
or resulting business or that the operation of the web pages will be uninterrupted and / or error-
free. Developer is not to be held responsible for occasional downtime of email or web site due to
line interruptions and/or other instances beyond Developer control.
6.6 Indemnification
Customer agrees that it shall defend, indemnify, save and hold Developer harmless from any and
all demands, liabilities, losses, costs and claims, including reasonable attorney’s fees associated
with Developer’s development of the Customer’s web site. This includes Liabilities asserted against
Developer, its subcontractors, its agents, its Customers, servants, officers and employees, that may
arise or result from any service provided or performed or agreed to be performed or any product
sold by the Customer, its agents, employee or assigns.
Customer also agrees to defend, indemnify and hold harmless Developer against Liabilities arising
out of any injury to person or property caused by any products or services sold or otherwise
distributed over the Customer’s web site. This includes infringing on the proprietary rights of a
third party, copyright infringement, and delivering any defective product or misinformation which is
detrimental to another person, organization, or business.
6.7 Laws Affecting
Electronic Commerce
From time to time governments enact
laws and levy taxes and tariffs affecting
Internet electronic commerce. The
Customer agrees that the Customer is
solely responsible for complying with
such laws, taxes, and tariffs, and will hold
harmless, protect, and defend Developer
and its subcontractors from any claim,
suit, penalty, tax, or tariff arising from the
Customer’s exercise of Internet electronic
commerce.
16. 8 Sole Agreement
The agreement contained in this “Website Maintenance Contract” constitutes the sole agreement
between NAARTJIE MULTIMEDIA and the Customer regarding this website.
