ARTICLE I NAME
The name of this Neighborhood Council shall be the NORTH HOLLYWOOD NORTH
EAST NEIGHBORHOOD COUNCIL (also referred to as “the Council”).
ARTICLE II PURPOSE
The purpose of the North Hollywood North East Neighborhood Council shall be:
A. to act as a forum for discussion and review of community issues and
projects;
B. to monitor the delivery of City services in the North Hollywood North East
Neighborhood Council geographic area;
C. to work with other organizations in North Hollywood and the surrounding
areas which want help in accomplishing their objectives or projects, and
which the North Hollywood North East Neighborhood Council desires to
support that benefit the Council; and
D. to engage in such other activities as are allowed by law.
ARTICLE III BOUNDARIES
Section 1 Boundary Description
A. North Boundaries are:
1. Roscoe Boulevard between Whitsett Avenue and Lankershim Boulevard;
2. Cantara Street between Lankershim Boulevard and Irvine Avenue;
3. Strathern Street between Irvine Avenue and Tujunga Avenue;
4. Sherman Way between Tujunga Avenue and Vineland Avenue; and
5. Along Burbank city lines between Vineland Avenue and Clybourn Avenue.
B. South Boundary is: Van Owen Street between Whitsett Avenue and Burbank
city lines.
C. East Boundaries are:
1. Lankershim Boulevard between Roscoe Boulevard and Cantara Street;
2. Lemp Avenue between Cantara Street and Strathern Street;
3. Tujunga Avenue between Strathern Street and Sherman Way;
4. Vineland Avenue between Sherman Way and Burbank city lines; and
5. Clybourn Avenue between Burbank city lines and Van Owen Street.
D. West Boundary is: Whitsett Avenue between Van Owen Street and Roscoe
Boulevard.

The boundaries of the Council are set forth in Attachment A - Map of the North Hollywood North
East Neighborhood Council.
Section 2 Internal Boundaries – Not applicable.
ARTICLE IV STAKEHOLDER
“Stakeholders” shall be defined as those who live, work, or own property in the
neighborhood and also to those who declare a stake in the neighborhood as a community
interest stakeholder, defined as a person who affirms a substantial and ongoing
participation within the Neighborhood Council’s boundaries and who may be in a
community organization such as, but not limited to, educational, non-profit and/or religious
organizations.
This Council is open to all Community Stakeholders. A Community Stakeholder may be
defined as:
1. any resident property owner of a home or condominium, or resident tenant of a
house or apartment, or any property owner who rents property to tenants in this
area;
2. any person who owns or manages a business in this area, or any person who works
as an employee to businesses in this area; and
3. any person who participates in youth groups, in senior groups, day care
establishments, any community-based organization, all faith-based institutions, and
all schools, both public or private, within the geographic boundaries of this Council.
ARTICLE V GOVERNING BOARD
The Board of Directors (“the Board”) shall be the Governing Body of the Council
within the meaning of that term as set forth in the Plan for a Citywide System of
Neighborhood Councils (“the Plan”). The Board will represent all Stakeholders of the North
Hollywood North East Neighborhood Council.
Section 1 Composition
The total number of Board members shall be fifteen (15) members, and the Board
shall be comprised of the following four (5) different categories of Members:
A. Resident Members – four (4) seats - includes residential property owners and
renters who reside in this Council area;
B. Business Members – two (2) seats - includes owners who have City business
licenses;
C. Community-Based Organization Members – two (2) seats - includes all
community organizations and all faith-based groups;

D. At Large Members – seven (7) seats - includes all other Community
Stakeholders in the following seats:
1. At large Community Stakeholders – six (6) seats
2. At large Factual Basis Stakeholder – one (1) seat
No single Stakeholder group shall hold a majority of Board seats unless extenuating
circumstances exist and are approved by the Department of Neighborhood Empowerment
(“Department”).
Section 2 Quorum
A quorum shall consist of seven (7) Board members.
Section 3 Official Action
Official action shall occur when the Board approves, fails to approve, or
disapproves by vote any resolution, position, or any decision with respect to an item on its
agenda which becomes the official or representative voice on said item for the
North Hollywood North East Neighborhood Council. A simple majority of the Board
members present, not including abstentions, shall be required to pass a motion.
In counting the votes under this authority, Board members must indicate that they
abstain for that vote to be counted as an abstention.
Section 4 Terms and Term Limits
Board members are elected for a four (4) year staggered term, and there are no
term limits. The Board shall maintain a list of which seats are in the A seats and B seats to
determine the staggered terms.
Section 5 Duties and Powers
The North Hollywood North East Neighborhood Council shall:
A. include the City or any other level of government on matters concerning the
general health, safety, and welfare of the neighborhood. These matters could
involve but are not limited to, community development conditions.
B. recruit a diverse representation on the Board and each committee and shall
attempt to reflect the diverse interests of this area.
C. provide input on the efficiency and effectiveness of the government’s delivery of
services to the Neighborhood Council area.
D. inform the City government of the community’s priorities and make
recommendations on the City budget.
E. cooperate with other Neighborhood Councils on issues that might be of general
concerns.

F. participate in the citywide conventions of Neighborhood Councils.
G. foster a sense of community.
In addition, Board members shall attend all regularly scheduled Board meetings and
shall attend Special Board meetings, as necessary. Board members shall also serve on at
least one (1) committee.
No individual member of the Board shall speak for the Board or otherwise publicly
represent a Board position unless authorized to do so by official action of the Board or by
these bylaws. The Board may, by official action, delegate to any individual the authority to
present before any public body a standing Council position previously adopted by the
Board or a statement that the Council has had insufficient time to develop a position or
recommendation on a matter before that body. Such authority may be revoked at any time
by the Board.
Section 6 Vacancies
Vacancies on the Board shall be filled using the following procedure:
1. Any Stakeholder interested in filling a vacancy on the Board shall submit a
written application to the Secretary;
2. The Secretary shall insure that the application is placed on the agenda for the
next regular meeting of the Board;
3. The written application provided to the Secretary may be considered if it is
more than ninety (90) days prior to a scheduled election;
4. Vacant seats shall be filled by majority vote of the Board. If there are multiple
applications for a seat, the candidate with the most votes wins;
5. The candidate who wins shall fill the remaining term of the Board seat unless
an election occurs sooner.
Section 7 Absences
If a Board member has three (3) unexcused consecutive absences, optionally, a
total of six (6) meetings within a twelve (12) month period, from regularly scheduled Board
meetings, the Board member’s seat will be considered vacant. An unexcused absence is
one that has not been communicated to any Board member. At the next regularly
scheduled meeting following the Board member’s third unexcused absence, the Board may
declare that a vacancy exists.
A. If a Council Board member or Officer is elected to any City political office as
defined by the City Charter, they shall immediately resign from their Council
position.
B. If a Council Board member or Officer moves away from or is no longer a
stakeholder in the Council area, their position will become vacant.
C. Any meeting of the Board, scheduled and noticed as per the Brown Act, shall
constitute a meeting for the purpose of determining Board member attendance.

Section 8 Censure
The Board can take action to publicly reprimand a Board member for actions
conducted in the course of Council business by censuring the Board member at a Council
Board meeting. Censures shall be placed on the agenda for discussion and action.
Section 9 Removal
A Board member may be removed by the submission of a written petition that
identifies the Board member that is being requested to be removed and describes in detail
the reasons for removal, and includes the signatures of a minimum of two hundred (200)
Stakeholders. This submission must be presented to the Secretary at a regular meeting of
the Board. The Secretary will have the item placed on the agenda for the next regular
meeting of the Board. A vote of two-thirds (2/3) of the seated Board is necessary to
remove the identified Board member forthwith. The Board member subject to the removal
action shall not take part in the vote on this matter, but will be allowed to speak in his or her
own defense prior to the vote. If two-thirds (2/3) of the seated Board members are not
present at this meeting then the matter will be heard at the next regular meeting, and every
meeting thereafter until such a vote is taken.
Section 10 Resignation
Any Board member or Board Officer may resign at any time by submitting a written
or electronic resignation to any Board Officer and one (1) other Board member or Officer,
and that seat shall be filled in accordance with Section 6 of this Article.
Section 11 Community Outreach
This Neighborhood Council shall, as much as possible, try to engage Stakeholders
in City governance and community improvement projects through outreach within this
Council’s boundaries and may seek help from neighboring Neighborhood Councils, or other
community organizations, to accomplish this task.
ARTICLE VI OFFICERS
SECTION 1 Officers of the Board
There shall be four (4) Executive Officers: the President, the Vice President, the
Treasurer, and the Secretary.

SECTION 2 Duties and Powers
Responsibilities of the Officers may be delegated to Board members with the
approval of the Board.
A. The President shall:
1. be the chairperson of the Board;
2. be an ex-officio member of all committees;
3. be a member of and chair of the Executive Committee;
4. appoint, with the approval of the Board, the chairpersons of all
committees;
5. supervise and coordinate the work of the Council including the Council’s
special events;
6. act as the spokesperson for the Council as an official representative to the
public and media unless otherwise designated;
7. notify the Department of Neighborhood Empowerment (Department) of all
necessary information of all new Board members, and carry out whatever
other duties may be required by the Department or the Board of
Neighborhood Commissioners, including tracking eligibility to vote by
compliance with the Ethics training and renewals;
8. be responsible for maintaining inventory of property and all records for this
Council;
9. have the power to collect or act on behalf of the Council to recover or obtain
property and records of the Council.
B. The Vice President shall:
1. assist the President and preside in the absence of the President;
2. in the event of the death or resignation of the President, become the
President for the unexpired term, or may hold an election to complete the
unexpired term of the President;
3. shall be the chairperson of the Elections Committee, and a member of and
Vice Chair of the Executive Committee;
4. be the official time keeper in all situations requiring time limitations.
C. The Secretary shall:
1. be responsible for taking and preparation of the Minutes for all meetings
of the Board and to have the Minutes distributed to the Board in at least two
(2) weeks after the Board meeting;
2. post a notice of upcoming Board meetings in at least one (1) local publication
tailored to reach the largest number of identifiable Stakeholders in the area,
such as the Daily News or the North Valley Reporter;

3. note in the Minutes the establishment or the ending of all committees other
than the standing committees;
4. carry out other secretarial duties as may be required or stated in these
Bylaws such as keeping track of the Ethics training compliance;
5. shall be a member of the Executive Committee and shall preside over the
meetings in the absence of the President and the Vice President.
D. The Treasurer shall:
1. be accountable for all funds belonging to the North Hollywood North East
Neighborhood Council;
2. receive and disburse all Council funds and give an account of finances at
every regular Board meeting or upon request of any Board member;
3. act for the President in the absence of the President, the Vice President and
the Secretary;
4. serve on the Executive Committee;
5. provide accounting statements or other reconciliation as required by the
Department;
6. have other duties and responsibilities that are detailed in Article IX on
Finances.
E. Other Potential Officers:
The Board of North Hollywood North East Neighborhood Council may, by
motion passed, designate Stakeholders to be Officers with their specific duties,
with such titles as Parliamentarian, Sergeant at Arms, or as the Council deems
necessary and proper.
SECTION 3 Selection of Officers
A. Officers shall be elected at the first regularly scheduled meeting after the
election of Board members and the election results are certified.
B. The Board shall nominate the Officers from the seated Board members.
C. Only seated Board members are eligible to vote for the Officers.
D. The Board member with the majority vote of the total seated Members shall
become an Officer.
SECTION 4 Officer Terms
Elected officers shall serve two (2) year terms and serve at the pleasure of the
Board. There are no term limits.
ARTICLE VII COMMITTEES AND THEIR DUTIES

All Committee meetings shall be run in accordance with the Ralph M. Brown Act and
the Parliamentary Authority as established in Article XII.
Section 1 Standing Committees
The five (5) Standing Committees of the Council shall include the Executive
Committee, Elections and Outreach Committee, City Services Committee, Planning and
Land Use Committee, and the Communications Committee. Standing committees shall
make recommendations that are submitted to the Board in written reports for consideration.
The Chairperson of each standing committee shall be a Board member of the North
Hollywood North East Neighborhood Council.
A. The Executive Committee shall be comprised of the four (4) Executive Officers of
this Neighborhood Council and any other person whom the Executive Officers
together invite to attend the Executive Committee meeting.
B. The Elections and Outreach committee shall:
1. have a minimum of one (1) Board member, plus Stakeholders;
2. be responsible for planning, promoting, and conducting the scheduled
election for the North Hollywood North East Neighborhood Council each two
(2) years, and any special elections that may be required, and be responsible
for integrating the required duties of the North Hollywood North East
Neighborhood Council Board related to any such election into the
structure/assistance offered by the City;
3. review outcome indicators of each election and make recommendations to
the Board related to improving the North Hollywood North East Neighborhood
Council elections;
4. work with the Communications Committee to ensure that all funded efforts
are appropriately advertised and marketed.
C. The City Services Committee shall:
1. be chaired by a member of the Board;
2. consist of a minimum of one (1) Board member, plus Stakeholders;
3. represent the Council and its Stakeholders in matters related to the provision
of City services, including but not limited to utilities, fire, and police protection,
finances (taxes, levies), transportation, street services, parks and recreation,
et cetera;
4. represent the interests of the North Hollywood North East Neighborhood
Council to the City of Los Angeles and to the Stakeholders of this Council and
the surrounding communities;
5. be responsible for the Council’s interests in the CERT program.

D. The Planning and Land Use Committee shall:
1. be chaired by a member of the Board
2. consist of at least one (1) Board member, plus Stakeholders;
3. function as a liaison between Stakeholders of the Council and the City of Los
Angeles Planning Department;
4. meet at least as necessary for the purpose of reviewing plan submission and
providing feedback to the City Planning Department as well as the
Stakeholder(s) submitting the plan;
5. be tasked with the responsibility for the Council’s interest in the North
Hollywood Community Plan;
6. maintain a systematic approach for reviewing and providing feedback on
proposed projects that are within the boundaries of or affect the Stakeholders
of the North Hollywood North East Neighborhood Council;
7. maintain a systematic approach for tracking projects and providing continued
feedback on project progress for projects that are initiated within the
boundaries of or affect the Stakeholders of the North Hollywood North East
Neighborhood Council;
8. meet periodically (at least annually) with representatives of the City of Los
Angeles Planning Department;
9. function as a liaison to other community groups with a vested interest in
planning and development issues within the boundaries of or affecting the
Stakeholders of the North Hollywood North East Neighborhood Council.
E. The Communications Committee shall:
1. be chaired by a member of the Board
2. consist of at least one (1) Board member, plus Stakeholders;
3. be responsible for the website, newsletters and language translations.
Section 2 Ad Hoc Committees
Ad Hoc Committees may be appointed by the President at any time with the
approval of the Board. Ad Hoc Committees will consist of Board members and as many
Stakeholders as necessary and must be renewed if their work is not completed within a one
(1) year time frame
Section 3 Committee Creation and Authorization
All committee chairs shall be appointed by the President and confirmed by the
Board. The chairs shall keep a written record of committee meetings and shall provide
regular reports to the Board.
All committee recommendations shall be brought to the full Board and may be
authorized at any time by a majority of the Board for discussion and action.
For all committee meetings of the North Hollywood North East Neighborhood
Council, the chair of the committee shall create and post the agendas.

ARTICLE VIII MEETINGS
All Neighborhood Council meetings shall be open to the public. All meetings shall comply
with all applicable laws, including the Ralph M. Brown Act.
Section 1 Meeting Time and Place
The meetings of the Councilshall be the third Thursdays monthly (except December
when there is no meeting). The time and place may change as recorded on the posted
agendas.
Meetings of this Neighborhood Council shall be held within the Council boundaries
at a location, date and time set by the Board.
Special meetings may be called by the President, by the Executive Committee or by
a majority of the Board members.
Section 2 Agenda Setting
Agendas shall be set by the President. Only Board members may request an item
be put on the agenda. All agenda items shall have a Board member sponsor. All agenda
items shall be submitted in writing to the President two (2) weeks prior to the date of the
next meeting and must appear on that agenda.
Section 3 Notifications/Postings
Agenda notice of a regular meeting and all committee meetings shall be a minimum of
three (3) days, seventy-two (72) hours in advance of the meeting and at least one (1) day or
twenty-four (24) hours in advance of a special meeting.
Section 4 Reconsideration
The Board at times may wish to reconsider its actions on items on the agenda, if the
reconsideration takes place at the same meeting or the next regular meeting. Only a
person on the prevailing side may make a motion for reconsideration. A motion for
reconsideration is debatable if the original motion was a debatable motion, and a motion to
reconsider must be seconded.
If the motion to reconsider is not made at the same meeting, it must be on the
agenda and posted for the next meeting after the meeting where the original motion was
made and either passed or failed.

ARTICLE IX FINANCES
The Board shall adhere to all rules and regulations promulgated by appropriate City officials
regarding the Council’s finances, where the term “appropriate City officials” means those
officials and/or agencies of the City of Los Angeles who have authority over Neighborhood
Councils.
The Council’s financial statements, books, and accounts shall be open for inspection
and copying by any member of the public upon a written request to the board. The Board
shall establish fair and open procedures to permit inspection within a reasonable time. Any
copying of financial records will be performed by an established copy service, and the
charge for such a service will be billed to the person or entity requesting the copies.
The Council will not enter into any contracts or agreements except through the
Department.
ARTICLE X ELECTIONS
Section 1 Administration of Elections
The Council's election will be conducted pursuant to any and all City ordinances,
policies and procedures pertaining to Neighborhood Council elections.
Section 2 Governing Board Structure and Voting
The number of Board seats, the eligibility requirements for holding any specific Board
seats, and which Stakeholders may vote for the Board seats are noted in Attachment B.
Section 3 Minimum Voting Age
The minimum voting age to become a Board member is eighteen (18) years old and
to vote as a Stakeholder at an election is sixteen (16) years old.
Section 4 Method of Verifying Stakeholder Status
Voters will verify their Stakeholder status through written self-affirmation.
Section 5 Restrictions on Candidates Running for Multiple Seats
A candidate shall declare their candidacy for no more than one (1) position on the
Board during a single election cycle.
Section 6 Other Election Related Language

All persons seeking election to the Board must read and sign a statement that they
have read and understood the Bylaws of the Council and shall submit to the Elections
Committee a statement of one hundred (100) words maximum indicating why they desire to
serve as a member of the Board.
ARTICLE XI GRIEVANCE PROCESS
Any grievance by a Stakeholder must be submitted in writing to the Board. The
Board shall then refer the matter to an ad hoc grievance panel comprised of five (5)
Stakeholders who are randomly selected by the Vice President of the North Hollywood
North East Neighborhood Council. The Vice President will coordinate a time and a place
for the panel to meet with the person(s) submitting the grievance and to discuss ways in
which the dispute may be resolved. The Vice President may facilitate the meeting.
Thereafter, a panel member shall promptly prepare a written report to be forwarded by the
Vice President to the Board outlining the panel’s collective recommendations for resolving
the grievance. The Board may receive a copy of the panel’s report and recommendations
prior to any meeting by the Board, but the matter shall not be discussed among the Board
members until the matter is heard at the next regular meeting of the Board pursuant to the
Ralph M. Brown Act.
This formal grievance process is not intended to apply to Stakeholders who simply
disagree with a position or action taken by the Board at one (1) of its meetings. Those
grievances can be aired at Board meetings. The grievance process is intended to address
matters involving procedural disputes, e.g., the Board’s failure to comply with Board Rules
or these Bylaws.
Board members are not permitted to file a grievance against another Board member
or against the Council.
In the event that a grievance cannot be resolved through this grievance process,
then the matter may be referred to the Department for consideration or dispute resolution in
accordance with the Plan.
ARTICLE XII PARLIAMENTARY AUTHORITY
Rosenberg’s Rules of Order: Simple Parliamentary Procedures for the 21st
Century
shall be the parliamentary authority for the North Hollywood North East Neighborhood
Council. Parliamentary authority must include the Standing Rules and these Bylaws.
ARTICLE XIII AMENDMENTS
The Bylaws may be amended, altered, or repealed by a two-thirds (2/3) vote of
those Board members present at any Board meeting provided that the general subject of

the proposed change(s) is included in the agenda of the required notice of the meeting.
Any adjustments and or amendments must be reviewed and approved by the Department
to ensure that they comply with the Plan.
ARTICLE XIV COMPLIANCE
The Council, its representatives, and all Community Stakeholders shall comply with
these Bylaws and with any additional Standing Rules or Procedures as may be adopted by
the Board as well as all local, county, state and federal laws.
Section 1 Code of Civility
The North Hollywood North East Neighborhood Council, its representatives and all
Stakeholders shall conduct all Council business in a civil, professional and respectful
manner.
Section 2 Training
Board members elected to the Councilmay be required to participate in training
provided by the Board, the Elections Committee, the Department, and the City of Los
Angeles.
All elected Board members must be compliant with the Ethics Training and other
mandatory trainings required by the City of Los Angeles within forty-five (45) days of being
seating or they will lose their Council voting rights.
Section 3 Self Assessment
The Board must participate in an annual self-assessment as required by the Plan.

  • 3. 3 North Hollywood North East Bylaws Approved 1-26-2014 ARTICLE I NAME The name of this Neighborhood Council shall be the NORTH HOLLYWOOD NORTH EAST NEIGHBORHOOD COUNCIL (also referred to as “the Council”). ARTICLE II PURPOSE The purpose of the North Hollywood North East Neighborhood Council shall be: A. to act as a forum for discussion and review of community issues and projects; B. to monitor the delivery of City services in the North Hollywood North East Neighborhood Council geographic area; C. to work with other organizations in North Hollywood and the surrounding areas which want help in accomplishing their objectives or projects, and which the North Hollywood North East Neighborhood Council desires to support that benefit the Council; and D. to engage in such other activities as are allowed by law. ARTICLE III BOUNDARIES Section 1 Boundary Description A. North Boundaries are: 1. Roscoe Boulevard between Whitsett Avenue and Lankershim Boulevard; 2. Cantara Street between Lankershim Boulevard and Irvine Avenue; 3. Strathern Street between Irvine Avenue and Tujunga Avenue; 4. Sherman Way between Tujunga Avenue and Vineland Avenue; and 5. Along Burbank city lines between Vineland Avenue and Clybourn Avenue. B. South Boundary is: Van Owen Street between Whitsett Avenue and Burbank city lines. C. East Boundaries are: 1. Lankershim Boulevard between Roscoe Boulevard and Cantara Street; 2. Lemp Avenue between Cantara Street and Strathern Street; 3. Tujunga Avenue between Strathern Street and Sherman Way; 4. Vineland Avenue between Sherman Way and Burbank city lines; and 5. Clybourn Avenue between Burbank city lines and Van Owen Street. D. West Boundary is: Whitsett Avenue between Van Owen Street and Roscoe Boulevard.
  • 4. 4 North Hollywood North East Bylaws Approved 1-26-2014 The boundaries of the Council are set forth in Attachment A - Map of the North Hollywood North East Neighborhood Council. Section 2 Internal Boundaries – Not applicable. ARTICLE IV STAKEHOLDER “Stakeholders” shall be defined as those who live, work, or own property in the neighborhood and also to those who declare a stake in the neighborhood as a community interest stakeholder, defined as a person who affirms a substantial and ongoing participation within the Neighborhood Council’s boundaries and who may be in a community organization such as, but not limited to, educational, non-profit and/or religious organizations. This Council is open to all Community Stakeholders. A Community Stakeholder may be defined as: 1. any resident property owner of a home or condominium, or resident tenant of a house or apartment, or any property owner who rents property to tenants in this area; 2. any person who owns or manages a business in this area, or any person who works as an employee to businesses in this area; and 3. any person who participates in youth groups, in senior groups, day care establishments, any community-based organization, all faith-based institutions, and all schools, both public or private, within the geographic boundaries of this Council. ARTICLE V GOVERNING BOARD The Board of Directors (“the Board”) shall be the Governing Body of the Council within the meaning of that term as set forth in the Plan for a Citywide System of Neighborhood Councils (“the Plan”). The Board will represent all Stakeholders of the North Hollywood North East Neighborhood Council. Section 1 Composition The total number of Board members shall be fifteen (15) members, and the Board shall be comprised of the following four (5) different categories of Members: A. Resident Members – four (4) seats - includes residential property owners and renters who reside in this Council area; B. Business Members – two (2) seats - includes owners who have City business licenses; C. Community-Based Organization Members – two (2) seats - includes all community organizations and all faith-based groups;
  • 5. 5 North Hollywood North East Bylaws Approved 1-26-2014 D. At Large Members – seven (7) seats - includes all other Community Stakeholders in the following seats: 1. At large Community Stakeholders – six (6) seats 2. At large Factual Basis Stakeholder – one (1) seat No single Stakeholder group shall hold a majority of Board seats unless extenuating circumstances exist and are approved by the Department of Neighborhood Empowerment (“Department”). Section 2 Quorum A quorum shall consist of seven (7) Board members. Section 3 Official Action Official action shall occur when the Board approves, fails to approve, or disapproves by vote any resolution, position, or any decision with respect to an item on its agenda which becomes the official or representative voice on said item for the North Hollywood North East Neighborhood Council. A simple majority of the Board members present, not including abstentions, shall be required to pass a motion. In counting the votes under this authority, Board members must indicate that they abstain for that vote to be counted as an abstention. Section 4 Terms and Term Limits Board members are elected for a four (4) year staggered term, and there are no term limits. The Board shall maintain a list of which seats are in the A seats and B seats to determine the staggered terms. Section 5 Duties and Powers The North Hollywood North East Neighborhood Council shall: A. include the City or any other level of government on matters concerning the general health, safety, and welfare of the neighborhood. These matters could involve but are not limited to, community development conditions. B. recruit a diverse representation on the Board and each committee and shall attempt to reflect the diverse interests of this area. C. provide input on the efficiency and effectiveness of the government’s delivery of services to the Neighborhood Council area. D. inform the City government of the community’s priorities and make recommendations on the City budget. E. cooperate with other Neighborhood Councils on issues that might be of general concerns.
  • 6. 6 North Hollywood North East Bylaws Approved 1-26-2014 F. participate in the citywide conventions of Neighborhood Councils. G. foster a sense of community. In addition, Board members shall attend all regularly scheduled Board meetings and shall attend Special Board meetings, as necessary. Board members shall also serve on at least one (1) committee. No individual member of the Board shall speak for the Board or otherwise publicly represent a Board position unless authorized to do so by official action of the Board or by these bylaws. The Board may, by official action, delegate to any individual the authority to present before any public body a standing Council position previously adopted by the Board or a statement that the Council has had insufficient time to develop a position or recommendation on a matter before that body. Such authority may be revoked at any time by the Board. Section 6 Vacancies Vacancies on the Board shall be filled using the following procedure: 1. Any Stakeholder interested in filling a vacancy on the Board shall submit a written application to the Secretary; 2. The Secretary shall insure that the application is placed on the agenda for the next regular meeting of the Board; 3. The written application provided to the Secretary may be considered if it is more than ninety (90) days prior to a scheduled election; 4. Vacant seats shall be filled by majority vote of the Board. If there are multiple applications for a seat, the candidate with the most votes wins; 5. The candidate who wins shall fill the remaining term of the Board seat unless an election occurs sooner. Section 7 Absences If a Board member has three (3) unexcused consecutive absences, optionally, a total of six (6) meetings within a twelve (12) month period, from regularly scheduled Board meetings, the Board member’s seat will be considered vacant. An unexcused absence is one that has not been communicated to any Board member. At the next regularly scheduled meeting following the Board member’s third unexcused absence, the Board may declare that a vacancy exists. A. If a Council Board member or Officer is elected to any City political office as defined by the City Charter, they shall immediately resign from their Council position. B. If a Council Board member or Officer moves away from or is no longer a stakeholder in the Council area, their position will become vacant. C. Any meeting of the Board, scheduled and noticed as per the Brown Act, shall constitute a meeting for the purpose of determining Board member attendance.
  • 7. 7 North Hollywood North East Bylaws Approved 1-26-2014 Section 8 Censure The Board can take action to publicly reprimand a Board member for actions conducted in the course of Council business by censuring the Board member at a Council Board meeting. Censures shall be placed on the agenda for discussion and action. Section 9 Removal A Board member may be removed by the submission of a written petition that identifies the Board member that is being requested to be removed and describes in detail the reasons for removal, and includes the signatures of a minimum of two hundred (200) Stakeholders. This submission must be presented to the Secretary at a regular meeting of the Board. The Secretary will have the item placed on the agenda for the next regular meeting of the Board. A vote of two-thirds (2/3) of the seated Board is necessary to remove the identified Board member forthwith. The Board member subject to the removal action shall not take part in the vote on this matter, but will be allowed to speak in his or her own defense prior to the vote. If two-thirds (2/3) of the seated Board members are not present at this meeting then the matter will be heard at the next regular meeting, and every meeting thereafter until such a vote is taken. Section 10 Resignation Any Board member or Board Officer may resign at any time by submitting a written or electronic resignation to any Board Officer and one (1) other Board member or Officer, and that seat shall be filled in accordance with Section 6 of this Article. Section 11 Community Outreach This Neighborhood Council shall, as much as possible, try to engage Stakeholders in City governance and community improvement projects through outreach within this Council’s boundaries and may seek help from neighboring Neighborhood Councils, or other community organizations, to accomplish this task. ARTICLE VI OFFICERS SECTION 1 Officers of the Board There shall be four (4) Executive Officers: the President, the Vice President, the Treasurer, and the Secretary.
  • 8. 8 North Hollywood North East Bylaws Approved 1-26-2014 SECTION 2 Duties and Powers Responsibilities of the Officers may be delegated to Board members with the approval of the Board. A. The President shall: 1. be the chairperson of the Board; 2. be an ex-officio member of all committees; 3. be a member of and chair of the Executive Committee; 4. appoint, with the approval of the Board, the chairpersons of all committees; 5. supervise and coordinate the work of the Council including the Council’s special events; 6. act as the spokesperson for the Council as an official representative to the public and media unless otherwise designated; 7. notify the Department of Neighborhood Empowerment (Department) of all necessary information of all new Board members, and carry out whatever other duties may be required by the Department or the Board of Neighborhood Commissioners, including tracking eligibility to vote by compliance with the Ethics training and renewals; 8. be responsible for maintaining inventory of property and all records for this Council; 9. have the power to collect or act on behalf of the Council to recover or obtain property and records of the Council. B. The Vice President shall: 1. assist the President and preside in the absence of the President; 2. in the event of the death or resignation of the President, become the President for the unexpired term, or may hold an election to complete the unexpired term of the President; 3. shall be the chairperson of the Elections Committee, and a member of and Vice Chair of the Executive Committee; 4. be the official time keeper in all situations requiring time limitations. C. The Secretary shall: 1. be responsible for taking and preparation of the Minutes for all meetings of the Board and to have the Minutes distributed to the Board in at least two (2) weeks after the Board meeting; 2. post a notice of upcoming Board meetings in at least one (1) local publication tailored to reach the largest number of identifiable Stakeholders in the area, such as the Daily News or the North Valley Reporter;
  • 9. 9 North Hollywood North East Bylaws Approved 1-26-2014 3. note in the Minutes the establishment or the ending of all committees other than the standing committees; 4. carry out other secretarial duties as may be required or stated in these Bylaws such as keeping track of the Ethics training compliance; 5. shall be a member of the Executive Committee and shall preside over the meetings in the absence of the President and the Vice President. D. The Treasurer shall: 1. be accountable for all funds belonging to the North Hollywood North East Neighborhood Council; 2. receive and disburse all Council funds and give an account of finances at every regular Board meeting or upon request of any Board member; 3. act for the President in the absence of the President, the Vice President and the Secretary; 4. serve on the Executive Committee; 5. provide accounting statements or other reconciliation as required by the Department; 6. have other duties and responsibilities that are detailed in Article IX on Finances. E. Other Potential Officers: The Board of North Hollywood North East Neighborhood Council may, by motion passed, designate Stakeholders to be Officers with their specific duties, with such titles as Parliamentarian, Sergeant at Arms, or as the Council deems necessary and proper. SECTION 3 Selection of Officers A. Officers shall be elected at the first regularly scheduled meeting after the election of Board members and the election results are certified. B. The Board shall nominate the Officers from the seated Board members. C. Only seated Board members are eligible to vote for the Officers. D. The Board member with the majority vote of the total seated Members shall become an Officer. SECTION 4 Officer Terms Elected officers shall serve two (2) year terms and serve at the pleasure of the Board. There are no term limits. ARTICLE VII COMMITTEES AND THEIR DUTIES
  • 10. 10 North Hollywood North East Bylaws Approved 1-26-2014 All Committee meetings shall be run in accordance with the Ralph M. Brown Act and the Parliamentary Authority as established in Article XII. Section 1 Standing Committees The five (5) Standing Committees of the Council shall include the Executive Committee, Elections and Outreach Committee, City Services Committee, Planning and Land Use Committee, and the Communications Committee. Standing committees shall make recommendations that are submitted to the Board in written reports for consideration. The Chairperson of each standing committee shall be a Board member of the North Hollywood North East Neighborhood Council. A. The Executive Committee shall be comprised of the four (4) Executive Officers of this Neighborhood Council and any other person whom the Executive Officers together invite to attend the Executive Committee meeting. B. The Elections and Outreach committee shall: 1. have a minimum of one (1) Board member, plus Stakeholders; 2. be responsible for planning, promoting, and conducting the scheduled election for the North Hollywood North East Neighborhood Council each two (2) years, and any special elections that may be required, and be responsible for integrating the required duties of the North Hollywood North East Neighborhood Council Board related to any such election into the structure/assistance offered by the City; 3. review outcome indicators of each election and make recommendations to the Board related to improving the North Hollywood North East Neighborhood Council elections; 4. work with the Communications Committee to ensure that all funded efforts are appropriately advertised and marketed. C. The City Services Committee shall: 1. be chaired by a member of the Board; 2. consist of a minimum of one (1) Board member, plus Stakeholders; 3. represent the Council and its Stakeholders in matters related to the provision of City services, including but not limited to utilities, fire, and police protection, finances (taxes, levies), transportation, street services, parks and recreation, et cetera; 4. represent the interests of the North Hollywood North East Neighborhood Council to the City of Los Angeles and to the Stakeholders of this Council and the surrounding communities; 5. be responsible for the Council’s interests in the CERT program.

The Planning and Land Use Committee shall: 1. be chaired by a member of the Board 2. consist of at least one (1) Board member, plus Stakeholders; 3. function as a liaison between Stakeholders of the Council and the City of Los Angeles Planning Department; 4. meet at least as necessary for the purpose of reviewing plan submission and providing feedback to the City Planning Department as well as the Stakeholder(s) submitting the plan; 5. be tasked with the responsibility for the Council’s interest in the North Hollywood Community Plan; 6. maintain a systematic approach for reviewing and providing feedback on proposed projects that are within the boundaries of or affect the Stakeholders of the North Hollywood North East Neighborhood Council; 7. maintain a systematic approach for tracking projects and providing continued feedback on project progress for projects that are initiated within the boundaries of or affect the Stakeholders of the North Hollywood North East Neighborhood Council; 8. meet periodically (at least annually) with representatives of the City of Los Angeles Planning Department; 9. function as a liaison to other community groups with a vested interest in planning and development issues within the boundaries of or affecting the Stakeholders of the North Hollywood North East Neighborhood Council. E. The Communications Committee shall: 1. be chaired by a member of the Board 2. consist of at least one (1) Board member, plus Stakeholders; 3. be responsible for the website, newsletters and language translations. Section 2 Ad Hoc Committees Ad Hoc Committees may be appointed by the President at any time with the approval of the Board. Ad Hoc Committees will consist of Board members and as many Stakeholders as necessary and must be renewed if their work is not completed within a one (1) year time frame Section 3 Committee Creation and Authorization All committee chairs shall be appointed by the President and confirmed by the Board. The chairs shall keep a written record of committee meetings and shall provide regular reports to the Board. All committee recommendations shall be brought to the full Board and may be authorized at any time by a majority of the Board for discussion and action. For all committee meetings of the North Hollywood North East Neighborhood Council, the chair of the committee shall create and post the agendas.
  • 12. 12 North Hollywood North East Bylaws Approved 1-26-2014 ARTICLE VIII MEETINGS All Neighborhood Council meetings shall be open to the public. All meetings shall comply with all applicable laws, including the Ralph M. Brown Act. Section 1 Meeting Time and Place The meetings of the Councilshall be the third Thursdays monthly (except December when there is no meeting). The time and place may change as recorded on the posted agendas. Meetings of this Neighborhood Council shall be held within the Council boundaries at a location, date and time set by the Board. Special meetings may be called by the President, by the Executive Committee or by a majority of the Board members. Section 2 Agenda Setting Agendas shall be set by the President. Only Board members may request an item be put on the agenda. All agenda items shall have a Board member sponsor. All agenda items shall be submitted in writing to the President two (2) weeks prior to the date of the next meeting and must appear on that agenda. Section 3 Notifications/Postings Agenda notice of a regular meeting and all committee meetings shall be a minimum of three (3) days, seventy-two (72) hours in advance of the meeting and at least one (1) day or twenty-four (24) hours in advance of a special meeting. Section 4 Reconsideration The Board at times may wish to reconsider its actions on items on the agenda, if the reconsideration takes place at the same meeting or the next regular meeting. Only a person on the prevailing side may make a motion for reconsideration. A motion for reconsideration is debatable if the original motion was a debatable motion, and a motion to reconsider must be seconded. If the motion to reconsider is not made at the same meeting, it must be on the agenda and posted for the next meeting after the meeting where the original motion was made and either passed or failed.
  • 13. 13 North Hollywood North East Bylaws Approved 1-26-2014 ARTICLE IX FINANCES The Board shall adhere to all rules and regulations promulgated by appropriate City officials regarding the Council’s finances, where the term “appropriate City officials” means those officials and/or agencies of the City of Los Angeles who have authority over Neighborhood Councils. The Council’s financial statements, books, and accounts shall be open for inspection and copying by any member of the public upon a written request to the board. The Board shall establish fair and open procedures to permit inspection within a reasonable time. Any copying of financial records will be performed by an established copy service, and the charge for such a service will be billed to the person or entity requesting the copies. The Council will not enter into any contracts or agreements except through the Department. ARTICLE X ELECTIONS Section 1 Administration of Elections The Council's election will be conducted pursuant to any and all City ordinances, policies and procedures pertaining to Neighborhood Council elections. Section 2 Governing Board Structure and Voting The number of Board seats, the eligibility requirements for holding any specific Board seats, and which Stakeholders may vote for the Board seats are noted in Attachment B. Section 3 Minimum Voting Age The minimum voting age to become a Board member is eighteen (18) years old and to vote as a Stakeholder at an election is sixteen (16) years old. Section 4 Method of Verifying Stakeholder Status Voters will verify their Stakeholder status through written self-affirmation. Section 5 Restrictions on Candidates Running for Multiple Seats A candidate shall declare their candidacy for no more than one (1) position on the Board during a single election cycle. Section 6 Other Election Related Language
  • 14. 14 North Hollywood North East Bylaws Approved 1-26-2014 All persons seeking election to the Board must read and sign a statement that they have read and understood the Bylaws of the Council and shall submit to the Elections Committee a statement of one hundred (100) words maximum indicating why they desire to serve as a member of the Board. ARTICLE XI GRIEVANCE PROCESS Any grievance by a Stakeholder must be submitted in writing to the Board. The Board shall then refer the matter to an ad hoc grievance panel comprised of five (5) Stakeholders who are randomly selected by the Vice President of the North Hollywood North East Neighborhood Council. The Vice President will coordinate a time and a place for the panel to meet with the person(s) submitting the grievance and to discuss ways in which the dispute may be resolved. The Vice President may facilitate the meeting. Thereafter, a panel member shall promptly prepare a written report to be forwarded by the Vice President to the Board outlining the panel’s collective recommendations for resolving the grievance. The Board may receive a copy of the panel’s report and recommendations prior to any meeting by the Board, but the matter shall not be discussed among the Board members until the matter is heard at the next regular meeting of the Board pursuant to the Ralph M. Brown Act. This formal grievance process is not intended to apply to Stakeholders who simply disagree with a position or action taken by the Board at one (1) of its meetings. Those grievances can be aired at Board meetings. The grievance process is intended to address matters involving procedural disputes, e.g., the Board’s failure to comply with Board Rules or these Bylaws. Board members are not permitted to file a grievance against another Board member or against the Council. In the event that a grievance cannot be resolved through this grievance process, then the matter may be referred to the Department for consideration or dispute resolution in accordance with the Plan. ARTICLE XII PARLIAMENTARY AUTHORITY Rosenberg’s Rules of Order: Simple Parliamentary Procedures for the 21st Century shall be the parliamentary authority for the North Hollywood North East Neighborhood Council. Parliamentary authority must include the Standing Rules and these Bylaws. ARTICLE XIII AMENDMENTS The Bylaws may be amended, altered, or repealed by a two-thirds (2/3) vote of those Board members present at any Board meeting provided that the general subject of

Any adjustments and or amendments must be reviewed and approved by the Department to ensure that they comply with the Plan. ARTICLE XIV COMPLIANCE The Council, its representatives, and all Community Stakeholders shall comply with these Bylaws and with any additional Standing Rules or Procedures as may be adopted by the Board as well as all local, county, state and federal laws. Section 1 Code of Civility The North Hollywood North East Neighborhood Council, its representatives and all Stakeholders shall conduct all Council business in a civil, professional and respectful manner. Section 2 Training Board members elected to the Councilmay be required to participate in training provided by the Board, the Elections Committee, the Department, and the City of Los Angeles. All elected Board members must be compliant with the Ethics Training and other mandatory trainings required by the City of Los Angeles within forty-five (45) days of being seating or they will lose their Council voting rights. Section 3 Self Assessment The Board must participate in an annual self-assessment as required by the Plan. This self assessment will be administered by the Elections and Outreach Committee each year.
