These Windows versions are bought as User subscription
licenses – allow installs on up to 5 devices
Windows E3 is the full OS experience as you know it
E5 is the additional security also known as Defender for
Endpoint
Like the on-premises version, the rights here are upgrade
licenses – you need to have a qualifying license (see right
side – Product Terms page 42)
The E3 and E5 subscriptions give you the same Software
Assurance rights as an on-premises version with SA

have access, this holds true for adding licenses of certain
services. No license, no possibility for assignment
• This does not mean that you need to create a
purchase order for all additional licenses.
• There is a process available called Online Services
Reservations.
• Basically, reserving a license means the license will
immediately become available to you, but payment will
not have to be done until the EA anniversary (EA true-
up or EAS annual report period)
CONTRACTUAL POSSIBILITIES
WHAT IS IN THE EA?
From the Enterprise Enrollment:
Minimum order requirements: if you order only
Enterprise Online Services a minimum of 500 seats need
to be licensed in order to qualify
• This means that you can have a contract with a
minimum of 500 Windows E3 licenses included
• For a list of Enterprise Online Services, see next slide

18. IMPORTANT TO NOTE ON THIS CLAUSE:
Microsoft labels certain services as Enterprise Online Services. These
are:
• These services can be reduced upon anniversary to a minimum of
500
• In combination with on-premises licenses (like CoreCAL, Windows
Device license, or even Office 365 Pro plus) you are not able to
reduce to the minimum requirements of 500, but need to maintain
the level at the start of the contract as a minimum
• Microsoft labels other products as Additional Online Services, this
is anything not listed above – so also components of the suites
• These licenses can be reduced at the anniversary to a minimum of
0, as such cancelling an order if all licenses under that order are
set to 0.

19. (i) Online Services eligible for an Extended Term. For Online Services identified as
eligible for an Extended Term in the Product Terms, the following options are available
at the end of the Enrollment initial or renewal term.
1) Extended Term. If Enrolled Affiliate does not renew prior to the Expiration Date,
access to the Online Services will automatically continue month-to-month in
accordance with the terms of the Enrollment (“Extended Term”) for up to one year
unless designated in the Product Terms to continue until cancelled. For the first
twelve months of the Extended Term, Online Services will be invoiced monthly at
the then-current published price for Enrolled Affiliate’s price level as of the
Expiration Date plus a 3% administrative fee. As of the first day of the thirteenth
month of the Extended Term, Online Services that continue until cancelled will be
invoiced at the then-current published price for price level A plus a 3%
administrative fee. During the Extended Term, the then-current Online Services
Terms and Product Terms will apply to Enrolled Affiliate’s use. If Enrolled Affiliate
does not want an Extended Term, Enrolled Affiliate must submit a request to
Microsoft at least 30 days prior to the Expiration Date.
2) Cancellation during Extended Term. At any time during the first year of the
Extended Term, Enrolled Affiliate may terminate the Extended Term by submitting
a notice of cancellation to Microsoft for each Online Service. Thereafter, either
party may terminate the Extended Term by providing the other with a notice of
cancellation for each Online Service. Cancellation will be effective at the end of
the month following 30 days after Microsoft has received or issued the notice.
(ii) Subscription Licenses and Online Services without an Extended Term. If Enrolled
Affiliate elects not to renew, the Licenses will be cancelled and will terminate as of the
Expiration Date. Any associated media must be uninstalled and destroyed and
Enrolled Affiliate’s Enterprise must discontinue use. Microsoft may request written
certification to verify compliance.
EXTENDED TERM is an important aspect of understanding
Cloud LIcensing for a couple of reasons:
• Mergers and acquisitions: If you renew under a new
name or with a new company, you might continue to pay
for subscriptions under your expired (old) contract
• If you decide to discontinue cloud services: not
renewing your cloud services at end of term may cause
invoices to be automatically generated
• If you are still negotiating with Microsoft: your
contract is expired, but the new contract is not in place
Always check your EXTENDED TERM STATUS
with Microsoft! It may cause unwanted
invoices and discussions
