IRREVOCABLE POWER OF ATTORNEY TO SELL SHARES
This Irrevocable Power of Attorney to Sell Shares (the “Power of Attorney” or “POA”) is
executed on _______________ 2019 by:
_________________, a company organized and existing under the law of _______ with
registration number ___________ residing at ______________ , which in this matter is
represented by _______________ as ________________ (hereinafter referred to as
“Authorizer”) hereby declares that:
The Authorizer is the legal and registered holder of ___________ shares (“Existing
Shares”), each share having a par value of Rp_____(________) issued by _______, a limited
liability company established under the laws of the Republic of Indonesia (“Company”) and
all additional shares in the Company, from time to time received, or owned by the Authorizer
(“Additional Shares”) (together with the Existing Shares hereinafter referred to as the
“Shares”).
The Authorizer hereby fully authorizes and grants an irrevocable and unconditional Power of
Attorney with right of substitution, to:
______________, a company organized and existing under the laws of People’s Republic of
China, and all its successors or assignees, which in this matter is represented by __________
as the Attorney based on Power of Attorney dated ______________ which is duly stamped
and attached to this deed (hereinafter referred to as the “Attorney”)

to act for and on behalf of the Authorizer and to take all actions including without limitation
to sell or otherwise transfer the Shares, to appear before the competent authorities, any notary
or any other person to prepare, sign and deliver all letters, applications, agreements,
documents, deeds, contracts and/or paper writings, deeds of transfer os shares, deed of shares
sale and purchase, instructions and orders, to notify the Company that the Shares have been
sold or otherwise transferred, to endorse the share certificate or any equivalent evidence of
the ownership of the Shares, requests, applications, reports, forms and all other documents,
whatsoever, to negotiate, determine and enter into contracts in whatever form concerning or
in connection with the sale, transfer, surrender or registration of the Shares, to give all
information, and to do and carry out all other actions or deeds whatsoever which in the
opinion of the Attorney in its sole discretion are required or necessary concerning or in
connection with the sale or transfer of the Shares.
The Authorizer hereby irrevocably waives any and all claims which may exist against the

Attorney (or any of its agents or representatives) arising out of or in connection with the
existence or exercise of this Power of Attorney, provided that nothing in this Power of
Attorney (including this paragraph) shall exempt the Attorney, its agents or representatives
from any liability which would attach to any of them in respect of any proven gross
negligence, willful misconduct or fraud of which any of them may be found in guilty in
connection with the exercise of this Power of Attorney.
The rights, powers, authorities and discretions conferred upon the Attorney by the Authorizer
in this Power of Attorney are irrevocable and shall not terminate by reason of any of the
occurrences mentioned in Articles 1813, 1814 and 1816 of the Indonesian Civil Code or for
any other reason whatsoever.
The Authorizer hereby ratifies and agrees to ratify at any time hereafter, any and all acts
carried out under or pursuant to this Power of Attorney by the Attorney or its substitute,
within the limits of such Power of Attorney, including the legal consequences arising
therefrom.
If there is any discrepancy in interpreting the English version of this Power of Attorney with
the Bahasa Indonesia Version contained this Power of Attorney, to the extent that it is not
prohibited by the prevailing law, the Parties agree that the provisions in English version shall
prevail and bind the Parties and shall supersede the Bahasa Indonesia Version contained in
this Power of Attorney
The use of this Power of Attorney shall be in accordance with mandatory provisions of the
laws of the Republic of Indonesia.
