1. TERMS AND CONDITIONSTELEXFREE INC.
Using TELEXFREE.COM (including www.telexfree.com and its related sub domains, services and
other sites and tools related to telexfree.com collectively, the "Web Site"), you agree to these Terms and
Conditions and general principles for the local, independently you have read through all the applicable
terms as used in these Terms and Conditions "Telexfree." We the "Telexfree Inc.” and its subsidiaries
and affiliates RECOMMEND THAT YOU READ THE TERMS and circumstances, because it includes terms
such as limitations of choice, LIABILITY OF THE FORUM CONFLICT AND other provisions which may
limit your RIGHTS.
You must accept all the terms in these Terms and Conditions before you become a registered user of the
website. By accepting these Terms and Conditions, you agree that these Terms and Conditions will
apply whenever you use the website or any service offered on the website or business. In addition, you will
also be subject to any other terms and guidelines applicable to any separate service and business (which is
inconsistent with these Terms and Conditions shall control). If you disagree with any of these Terms and
Conditions, including all linked documents, do not use the website.
Telexfree Inc. reserves the right to make changes to these Terms and Conditions at any time and such
changes will be effective immediately upon being posted on the website. Each time you use
the website, you should review these Terms and Conditions and all linked documents. You can determine
when these Terms and Conditions were last revised by referring to the "LAST UPDATED" at the top of
these Terms and Conditions. Your continued use of the Site indicates your acceptance of these Terms and
Conditions, but any significant change to these Terms and Conditions shall not be applied retroactively
to any claim or dispute between you and us in connection with these Terms and Conditions which occurred
prior to the applicable "Last Updated" date on which material change were included. We can at any: Modify
or discontinue all or part of the Site; load, modify or waive the fees required to use the Site, or offer
opportunities to some or all site users.
CONTRACT OBJECTIVE – Announcements Telexfree Central (ADCentral or ADCentral FAMILY)
The promoter is a person who acquires a Telexfree ADCentral (ADCentral) or more (up to the maximum
ADCentral FAMILY), with this he/she will receive the company value of US$20 per ADCentral when, and
only when, put 7 ads per week in advertising sites on Internet (free sites or not), being aware that not doing
one of the seven ads means not receiving that particular week that missed placing the seven ads. Our
contract is 1 year and may be renewed at by the end of it; the renewal is at the discretion of the company,
after evaluation.
Important: The Promoter shall have no liability for the services and/or products announced in our ads that
he publishes in ad sites on the Internet, thus the responsibility is on behalf of the advertiser itself, being
Telexfree itself or any business partner that will use the announcement service of the company.
Below are the conditions for the promoter and the earnings:
- Partner Membership - Value US$30.00
With this membership the person is guaranteed for 1 year its position in the affiliate network.
- ADCentral Membership - Value US$ 299.00
Have your ad central active for one year from the activation date, your obligation is to place an ad (created
and done by the company) per day in ad sites on the Internet (free or not).
Total of 7 ads, the company pays a commission of US$20. If for any reason the publisher fails to meet the
goal of 7 ads per week, he/she will no longer receive the US$20 of that particular week that did not comply.
The other weeks, begin as usual and he/she can achieve the goal and receive.
- ADCentral FAMILY Membership - Value US$1,375
You will have five ad centrals active for one year from the activation date, your obligation is to place an ad
(created and done by the company) per day in ad sites on the Internet (free or not) in each of the five
ADCentral.

2. Total of 35 ads, the company pays a commission of US$100. If for any reason the publisher fails to meet
the goal of 7 ads per week in each of the five ADCentral, he/she will no longer receive the US$20 of that
particular week and ADCentral not fulfilled. The other weeks, begin as usual and he/she can achieve the
goal and receive.
Note:
An ADCentral can become an ADCentral FAMILY, doing upgrades of ADCentral one by one paying the
cost of US$269.00 per each additional one until a total of four. It will be valid for one year from the
activation date of the main ADCentral.
- TEAM BUILDER CONDITION
Reaches that position the ADCentral FAMILY that through the incentive plan (MLM) has registered 10
ADCentral FAMILY directly through you on your site. AND the TEAM BUILDER will have a share in the
assessment of 2% of liquid the company revenues in the next month their qualification getting this division
on the 10th successive day to the read of gains, the maximum value of that gain is up to US$39,600, or at
the end of 1 year contract, whichever comes first. The promoter has to 60 days to reach the
condition TEAM BUILDER from the date of their activation in the system, whether as
a Partner, or ADCentral ADCentral FAMILY.
- INCENTIVE PLAN
From the ADCentral above, the promoter will receive a US$20 bonus for every new promoter (ADCentral)
registered directly, thereby increasing his/her team of promoters. If this membership is a new promoter
ADCentral FAMILY, the bonus will be US$100.
Revenue of Binary Cycles:
QUALIFICATION TO BINARY PLAN
Qualifies to binary revenues the promoter who registers directly two new promoters being one on the left
and one on the right, only from that moment he/she will have the right to direct and indirect binary
revenues.
By registering two new promoters (ADCentral) being one left side and one on the right on your ADCentral
(position) you will receive additionally a bonus of US$20, called binary cycle. Maximum daily revenue is
US$ 440.00 (22 cycles).
If they were 2 ADCentral FAMILY, this cycle will pay over US$20 by main ADCentrals and US$60 for 3 of 4
additional ADCentral, getting an additional ADCentral to spare for future cycles. This form of revenue
rewards the promoter directly (when he/she registers two new promoters, one on the left and another one
on the right) or indirectly by the natural growth of the network (registered promoters by left and right
descendants of his/her network) or by spills (registered by promoters of your network ascending on left and
right side). Maximum daily revenue is US$15,360 (768 cycles).
INDIRECT REVENUE FROM ADS
The promoter will also receive 2% from the ads of the direct and indirect promoters of his/her network until
the 6th level.
STOCKS
The promoter will be entitled to a share of 1% as STOCK from the company's revenues, if within a calendar
month (1st to last day of the month) the promoter has closed 22 cycles in 20 days, without need of being
consecutive.
DIRECT AND INDIRECT REVENUE OF AGGREATED SERVICE
In the case of Telexfree accounts, and only them, the promoter will receive directly, when the client buys
the account on your site, a direct commission of 10% as long as the customer pays. And receive 2%

3. commission indirectly, of the 1st level to the 5th level, by the clients from his/her direct and indirect
promoters.
TRANSFER OF TITLE
The promoter who wishes to sell his position becomes aware that it can be done only with prior review and
acceptance of the company, and will take place on a charge of 10% of the value of the position in question
at the time of transfer.
ELECTRONIC COMMUNICATIONS
When you visit the Site, you are communicating with Telexfree inc. electronically. You agree to receive
communications electronically. Telexfree inc. will communicate with you by e-mail or by posting notices on
the site. You agree that the maximum extent permitted by law, all agreements, notices, disclosures and
other communications that Telexfree inc. provides to the user electronically satisfy any legal requirement
that such communications be in writing.
PRECISION OF INFORMATION BY YOU
You represent and guarantee that any information you provide
with respect to your use of the Site is and shall remain true,
exact and complete, and that will maintain and update such information regularly. You agree that if any
information you provide is false, inaccurate, incomplete or obsolete, we may terminate your use of the Site.
YOUR ACCOUNT
You may be obliged to register with Telexfree inc. in order to access to certain services or areas of the Site.
With relation to such registration, which may refuse to grant you, and you cannot use, a username (or
email) that is already being used by another person, which can be construed as impersonating another
person, that belongs to someone else; personally identifiable, which violates the intellectual property or
other rights of any person, that is offensive, or that we reject for any other reason at our discretion.
Your username and password are for your personal use. If you use the Site, you are responsible for
maintaining the confidentiality of your account and password and for restricting access to your computer,
and you agree to accept responsibility for all activities that occur under your account or password.
Telexfree Inc. reserves the right to refuse service, terminate accounts, remove or edit content, or cancel
orders in its sole discretion.
RESCISSION
Telexfree inc. reserves the right, without notice and to its exclusive criterion, terminate your account or
your use of the Site, and to block or prevent future access to and use of the site if you violate any of
these Terms and Conditions. After rescission, your right to use the Site will immediately cease. You agree
that any rescission of your access to or use of this site may be affected without prior notice, and that
may immediately deactivate or delete your password and user name, and all information and files
associated with it, and / or bar any further access to this information or files. You agree that shall not be
responsible by you or any third party for any termination of your access to the Site or any information
or files, and will not be obliged to make such information or files available to you upon termination. Upon
termination, all provisions of these Terms and Conditions which are by their nature intended to
survive termination, all representations and warranties, limitation of responsibilities, and
all indemnities shall survive termination.
CRITICAL, COMMENTS, observations and OTHER communications
Already in the event of cancellation by the user of the site (promoter or client), for whatever reason, it is

User Content sent by you. You agree to indemnify us against all claims and liabilities due to your User
Content. You acknowledge and agree that we reserve the right (without obligation) to do any or all of the
following, at our discretion: (i)monitor User Content, (ii) alter, remove or refuse to post or allow be published
any User Content and / or (iii) disclose any User Content, and the circumstances surrounding their
transmission to any third party to operate the site, to protect Telexfree inc. and its employees,
administrators, directors, shareholders, affiliates, agents, representatives, licensors, suppliers and service
providers (collectively, the "Telexfree Entities"), and site users and visitors to comply with legal obligations
or governmental requests, to comply with these Terms and Conditions and review our Guidelines, or for
any other reason or purpose.
For any User Content you submit, you grant Telexfree a nonexclusive license, sub licensable (through
multiple levels), fully paid, perpetual, irrevocable, royalty-free, non-transferable right and license to use,
display, perform, transmit, copy , modify, delete, adapt, publish, translate, create derivative works from, sell
and distribute such User Content and to incorporate such content in any form, media or technology now
known or developed later, around the world, all without any financial compensation to you. For this
reason, do not send us any comments that you do not want to license to us, including any confidential
information or any original creative materials such as stories, product ideas, computer code or original
art. In addition, you grant Telexfree the right to include the name supplied with the User Content sent by
you, provided, however, Telexfree shall have no obligation to include the name of this with any such User
Content. Please note that if you use your name in connection with your product review, this personal
information will become public information, and will be available to site visitors and the general public, in
addition, such personal information, as previously disclosed to the public in general, can be distributed via
the Internet and other media channels, where it will reach an even wider audience. We are not
