3D Systems Completes Sale of Cimatron and GibbsCAM Businesses and Provides
Preliminary Financial Results for Fourth Quarter 2020
3D Systems has completed the sale of its Cimatron and GibbsCAM software businesses to a
subsidiary of ST Acquisition Co., an affiliate of Battery Ventures, on January 1, 2021, resulting
in purchase price proceeds of approximately $64.2 million, after certain adjustments and
excluding $8.9 million of cash amounts transferred to the buyer. Using a portion of the proceeds
from the sale, the company paid off approximately $21 million of outstanding balances under its
senior secured term loan facility. With the paydown of the term loan, the company is now free of
any outstanding debt but continues to have availability under its senior secured revolving credit
facility, which remains fully undrawn at this point. The company also terminated the previously
announced at-the-market equity program (“ATM Program”), under which no shares of common
stock were sold during the fourth quarter of 2020. Additionally, the company is providing
preliminary financial data for the quarter ended December 31, 2020. The company expects
revenue for the fourth quarter of 2020 will be in the range of $170 million to $176 million and
fourth quarter non-GAAP operating income in the range of $11 million to $19 million(1). The
GAAP operating (loss) income for the fourth quarter is expected to be in the range of $(8.6)
million to $0.5 million. This non-GAAP operating income range compares favorably to the
non-GAAP operating income of $5.6M reported in Q4 2019 and $0.0M reported in Q3 2020. The
GAAP operating loss for Q4 2019 was $(4.7) million and for Q3 2020 was $(67.6) million.

reorganization into two business units, Healthcare and Industrial Solutions; restructuring of

Transaction brings total par value of Series A Preferred Stock repurchased to $15
million including $5 million repurchased in October 2020
Rimini Street, Inc. a global provider of enterprise software products and
services, the leading third-party support provider for Oracle and SAP
software products and a Salesforce partner, announced the completion of
repurchases totaling $15 million par value of Series A preferred stock at
an aggregate purchase price of $13.45 million, or 89.7% of par value.
Repurchases of $5 million took place on October 30, 2020 and $10
million on January 5, 2021. As part of the transaction terms, the
requirement to pay “make-whole” dividends through the end of the
“non-call” date of July 19, 2021, was waived and the repurchased shares

November 2, 2020, and January 6, 2020, which include copies of the
stock purchase agreements, for additional information.

opportunity to lower our cost of capital, increase cash flow and

new year holds in store to provide users with greater safety, comfort and everyday convenience. And all this will soon be available in eleven additional European countries.
Healthy air is safer: Bosch presents a new ventilation reminder service
The year of 2021 begins with a topic that is important for all of us. In view of the on-going pandemic, a healthy climate inside our homes remains a high priority. Bosch Smart Home has always focused on
safety and on supporting its users in their daily lives. That’s why the company has now introduced a new “Healthy Room Climate” service for its Bosch Smart Home App. The first feature is the ventilation
detector, which makes it even more convenient for users to monitor air quality with the Twinguard. Receiving the ventilation reminder, users can set up their own ventilation ”traffic light” based on the measured
purity of the indoor air. The convenient assistant guides its users through the setup in three simple steps: selecting the room; setting the limits for the three warning levels (red, yellow and green); and specifying
the period of use. Alerts can be sent to a smartphone via a push message while being simultaneously displayed as coloured warning lights on the integrated smart lamps from Philips Hue or LEDVANCE Smart+.
Two partners for a shared vision: smart home meets smart car
Our frequently stressful everyday lives mean that when we are already in our car driving to the office or to our children’s school or day-care centre, our thoughts often still revolve around the home and whether
we have left everything there in proper order. Are the lights switched off? Are the windows and doors closed? Is the heating turned down? Fortunately, it is now easy to instantly check all these things. With a
simple voice command and a “Hey, Mercedes”, the most important Bosch Smart Home functions are already available aboard the Mercedes-Benz and can be controlled directly within the car. The driver’s hands
remain on the steering wheel and the driver’s attention stays on the traffic – for optimal safety on the road. The integration is made possible by an open interface that Bosch Smart Home began offering early in
2020. The interface enables partners such as Mercedes-Benz to integrate Bosch Smart Home devices into their own solutions via a cloud API. The following Bosch Smart Home products have been controllable
from Mercedes S-Class cars since December 2020: Smart Plug, Room Thermostat, Radiator Thermostat, Shutter Control, Door/Window Contact, Light Control and Motion Detector. Successive expansion to
include other model series from Mercedes-Benz is planned in the course of the year.

Honeywell Launches Next-Generation Digital Cabin Pressure Control And
Monitoring System For Aircraft

Solution Description
Honeywell has introduced the next generation of its Cabin Pressure Control and Monitoring System with applications in both commercial and military aircraft. This new
version of the system is all-electric, lighter-weight, and available now for business and regional aviation as well as tactical or military trainer-sized aircraft. The Cabin
Pressure Control and Monitoring System helps maintain and monitor the air pressure inside an aircraft. It can be found onboard any aircraft that flies high enough to
require air pressurization, including commercial and business jets as well as military aircraft. It regulates the air that is pumped into the cabin of an aircraft to maintain
a safe and comfortable environment while flying at high altitudes. It also manages the rate of pressure change to avoid passenger discomfort during climb and descent.
This new fourth-generation version of the system is all-electric and has built-in test capability to detect and report any failures or issues, including for the back-up manual
portion of the system. Along with the improved system reliability, there is also less system maintenance for the airplane operator. This system further improves sensor
accuracy and response rate performance, resulting in more comfortable pressure control. The system can serve a wide variety of aircraft, offering customers the ability
to customize the control software to best fit their needs. The entire system weighs less than six pounds, is 30% lighter than its predecessor and has a new and smaller
digital controller that allows it to be fit for future upgrades. Honeywell has won a contract with Piaggio Aerospace to provide the new CPCMS for its integration into the
new P.180 Avanti Evo aircraft configuration, currently under development. The products will start delivery in the third quarter of 2021 and the first planes with the new
system are expected to enter service in the first half of 2022. From the first cabin pressure regulator on the Boeing B-29 until now, Honeywell has over 75 years of
experience with pressure control systems, with over 20,000 systems flying globally on aircraft. Honeywell's legacy as an avionics manufacturer and integrator also helps
ensure proper system operation and a smoother path to aircraft certification.

A Multi-DNN Approach
Facial expressions are complex signals to interpret. A simple wrinkle of the brow or shift of the gaze can have a variety of meanings. DRIVE IX uses multiple DNNs to recognize faces
and decipher the expressions of vehicle occupants. The first DNN detects the face itself, while a second identifies fiducial points, or reference markings — such as eye location, nose,
etc.

There’s a new brand of automotive intelligence equipped with the brains — and the battery — to go the distance. SAIC, the largest automaker in China, joined forces
with etail giant Alibaba to unveil a new premium EV brand, dubbed IM, or “intelligence in motion.” The long-range electric vehicles will feature AI capabilities powered
by the high-performance, energy-efficient NVIDIA DRIVE Orin compute platform. The first two vehicles in the lineup — a flagship sedan and SUV — will have
autonomous parking and other automated driving features, as well as a 93kWh battery that comes standard. SAIC will begin taking orders for the sedan at the Shanghai
Auto Show in April, with the SUV following in 2022. These models will have multi NVIDIA Orin SoCs (system-on-a-chip) at the core of a centralized computer system,
achieving 500 to 1,000+ TOPS of performance for automated and autonomous capabilities in addition to in-cabin personalization that is continuously upgradable
over-the-air for a truly software-defined experience. By centralizing and unifying the compute architecture, IM vehicles will be able to receive advanced software
features as they’re developed. Just like a mobile phone, which periodically gets software updates, these software-defined vehicles will do the same. Developing a
top-of-the-line premium electric brand requires best-in-class in-vehicle compute. Orin is the world’s highest-performance, most-advanced AV and robotics processor.
This supercomputer on a chip is capable of delivering up to 254 trillion operations per second (TOPS) to handle the large number of applications and deep neural
networks that run simultaneously in autonomous vehicles and robots, while meeting systematic safety standards such as ISO 26262 ASIL-D. With two Orin SoCs at the
center of IM vehicles, these compute platforms will be able to deliver more than 500 TOPS of performance to achieve the redundancy and diversity necessary for
autonomous operation. Like all modern computing devices, these intelligent vehicles will be supported by a large team of AI and software engineers, dedicated to
improving the performance and capability of the car as technology advances.

NVIDIA Orin is the world’s highest-performance AV and robotics processor. This scalable supercomputer-on-a-chip family delivers an unprecedented 254
trillions of operations per second (TOPS) while also being able to scale down to entry-level ADAS/Level 2 use cases (10 TOPS/5 watts). NIO will feature
four high-performance Orin SoCs in each of its EVs to achieve an industry-leading performance of 1,000+ TOPS — delivering the redundancy and diversity

Honeywell Delivers 225 Million N95 and Surgical Masks in December for
Health Care and Government Use

Honeywel achieved a significant milestone by delivering more than 225 million face masks in the month of December to help protect workers in response to the
increased demand for respiratory protection products. Honeywell delivered the N95 respirators and disposable, surgical face masks to multiple locations in the U.S.
for health care systems, the Federal Emergency Management Agency (FEMA), and the U.S. Department of Health and Human Services. In addition, the company
shipped millions of masks to state and local governments in support of their response to COVID-19 and for their personal protective equipment (PPE) stockpiles.
Honeywell produces a range of respiratory protection products for workers, including NIOSH-certified N95 masks, flat-fold single-use masks and elastomeric
half-masks with replaceable cartridges. By steadily increasing production capacity, the company has the ability to produce hundreds of millions of face masks for
health care and other critical needs. In April, Honeywell rapidly started up new N95 mask production operations at multiple facilities in the U.S. The company was
able to begin operations in just five weeks by accelerating a process that could normally take up to nine months. The operations were initially capable of producing
20 million masks per month, and Honeywell has steadily increased capacity throughout the year. Honeywell Safety and Productivity Solutions (SPS) provides

software products and a Salesforce partner, announced that Homeplus Co. Ltd, a leading Korean grocery and outlet retailer based in Seoul, has switched to Rimini Street Support
for its Oracle eBusiness Suite, Oracle Retail Warehouse Management and Oracle Database software. In addition to saving 50% of its annual maintenance costs that they were
previously paying the vendor, the company can now maintain its core mission-critical Oracle system for a minimum of 15 years from the time that they switched to Rimini
Street Support. The company plans to divert its significant cost savings and liberated IT resources to invest in the modernization of its hardware infrastructure. Homeplus Co.
Ltd. was founded in 1997 and now has more than 140 branches and 25,000 employees in South Korea. The company operates its supermarket chain “Homeplus Express,”
convenience store “365 Plus” and online shopping services for everything from groceries to clothes and appliances. In 2019, the company’s CIO began to look for ways to
optimize costs after reviewing the high costs of the organization’s Oracle maintenance and support compared to the low quality of support received in return. Additionally, the
company has heavily customized its Oracle EBS and Retail Warehouse Management applications, and needed a much higher level of support, including support for custom
code, than what was being provided by the vendor. Homeplus Co. began self-supporting its Oracle system to save on costs but realized it needed technical support beyond its
IT department’s skill set. After doing a thorough review of their options, including returning to expensive vendor support, Homeplus ultimately switched to Rimini Street

COVID-19 has acted as a catalyst for companies in the mine maintenance game, such as Dingo and its Trakka® maintenance software. The company recently signed a global

Honeywell, Atrium Health, Tepper Sports & Entertainment and the Charlotte Motor Speedway have announced a unique public-private partnership with the
State of North Carolina, and backed by Gov. Roy Cooper, to support the goal of 1 million COVID-19 vaccinations by July 4, 2021. In collaboration with the
North Carolina Department of Health and Human Services (DHHS), the City of Charlotte and Mecklenburg County, these organizations aim to unleash their
combined strength to vaccinate as many frontline workers, members of the general public and of underserved communities as quickly and efficiently as
possible. They announcement aligns with Gov. Cooper’s Jan. 12 announcement at a news conference in Raleigh that several mass vaccination sites are being
established across the state to boost the rollout of the COVID-19 vaccine. The governor and Secretary of DHHS Dr. Mandy Cohen announced Atrium Health
as the health system to offer mass vaccination events in Charlotte and surrounding counties. To meet the goal of 1 million vaccinations, the partners will work
together to administer the vaccine, provide logistics and operations support and offer a venue for an efficient and safe initiative. Bank of America Stadium,
Charlotte Motor Speedway and a soon to be determined location in the Winston-Salem area will serve as initial venues to contribute to this public-private
initiative. More details will be shared in the coming days on the process and timing for each of the mass vaccination events. Getting a COVID-19 vaccine is

Uptake announced that it has signed a partnership agreement with Reliability Center, Inc. (RCI) to strengthen Reliability-Centered Maintenance in an effort to advance
equipment and plant reliability for the process and asset-intensive industries, including chemical, oil & gas, pulp & paper, and power. The strategic partnership joins
RCI’s root cause analysis investigation methodology of equipment defects through its application EasyRCA with Uptake’s Industrial AI and extensive Asset Strategy
Library (ASL) of 800 asset types and 58,000+ failure modes to generate cost-optimized maintenance strategies for process companies that mitigate risk, enhance safety,
assure productivity, and increase plant profitability. The combined offerings of RCI and Uptake enable process companies to pinpoint primary reasons for declines in a
production line’s quality or the decrease in the overall equipment effectiveness (OEE) of an asset. Specifically, RCI’s EasyRCA tool allows maintenance and reliability
practitioners in process industries to formally conduct root cause analysis and identify factors that cause failures, defects, or quality deviations in a manufactured product.

The journey to making the upcoming film Gods of Mars changed course dramatically once real-time rendering entered the picture. The movie, currently in production, features a mix
of cinematic visual effects with live-action elements. The film crew had planned to make the movie primarily using real-life miniature figures. But they switched gears once they
experienced the power of real-time NVIDIA RTX graphics and Unreal Engine. Director Peter Hyoguchi and producer Joan Webb used an Epic MegaGrant from Epic Games to bring
together VFX professionals and game developers to create the film. The virtual production started with scanning the miniature models and animating them in Unreal Engine. yoguchi
and team produced rich, photorealistic worlds in 4K to create rich, intergalactic scenes using a combination of NVIDIA Quadro RTX 6000 GPU-powered Lenovo ThinkStation P920
workstations, ASUS ProArt Display PA32UCX-P monitors, Blackmagic Design cameras and DaVinci Resolve, and the Wacom Cintiq Pro 24. Gods of Mars tells the tale of a fighter
pilot who leads a team against rebels in a battle on Mars. The live-action elements of the film are supported by LED walls with real-time rendered graphics created from Unreal Engine.
Actors are filmed on-set, with a virtual background projected behind them. To keep the set minimal, the team only builds what actors will physically interact with, and then uses the
projected environment from Unreal Engine for the rest of the scenes. One big advantage of working with digital environments and assets is real-time lighting. When previously working
with CGI, Hyoguchi and his team would pre-visualize everything inside a grayscale environment. Then they’d wait hours for one frame to render before seeing a preview of what an
image or scene would look like. With Unreal Engine, Hyoguchi can have scenes ray-trace rendered immediately with lights, shadows and colors. He can move around the environment
and see how everything would look in the scene, saving weeks of pre-planning. Real-time rendering also saves money and resources. Hyoguchi doesn’t need to spend thousands of
dollars for render farms, or wait weeks for one shot to complete rendering. The RTX-powered ThinkStation P920 renders everything in real time, which leads to more iterations,
making way for a much more efficient, flexible and faster creative workflow.

Lorem ipsum dolor sit amet, consec- tetuer Financial, M&A Updates IT Shades Engage & Enable 3D Systems Completes Sale of Cimatron and GibbsCAM Businesses and Provides Preliminary Financial Results for Fourth Quarter 2020 3D Systems has completed the sale of its Cimatron and GibbsCAM software businesses to a subsidiary of ST Acquisition Co., an affiliate of Battery Ventures, on January 1, 2021, resulting in purchase price proceeds of approximately $64.2 million, after certain adjustments and excluding $8.9 million of cash amounts transferred to the buyer. Using a portion of the proceeds from the sale, the company paid off approximately $21 million of outstanding balances under its senior secured term loan facility. With the paydown of the term loan, the company is now free of any outstanding debt but continues to have availability under its senior secured revolving credit facility, which remains fully undrawn at this point. The company also terminated the previously announced at-the-market equity program (“ATM Program”), under which no shares of common stock were sold during the fourth quarter of 2020. Additionally, the company is providing preliminary financial data for the quarter ended December 31, 2020. The company expects revenue for the fourth quarter of 2020 will be in the range of $170 million to $176 million and fourth quarter non-GAAP operating income in the range of $11 million to $19 million(1). The GAAP operating (loss) income for the fourth quarter is expected to be in the range of $(8.6) million to $0.5 million. This non-GAAP operating income range compares favorably to the non-GAAP operating income of $5.6M reported in Q4 2019 and $0.0M reported in Q3 2020. Two partners for a shared vision: smart home meets smart car Our frequently stressful everyday lives mean that when we are already in our car driving to the office or to our children’s school or day-care centre, our thoughts often still revolve around the home and whether we have left everything there in proper order. Are the lights switched off? Are the windows and doors closed? Is the heating turned down? Fortunately, it is now easy to instantly check all these things. With a simple voice command and a “Hey, Mercedes”, the most important Bosch Smart Home functions are already available aboard the Mercedes-Benz and can be controlled directly within the car. The driver’s hands remain on the steering wheel and the driver’s attention stays on the traffic – for optimal safety on the road. The integration is made possible by an open interface that Bosch Smart Home began offering early in 2020. The interface enables partners such as Mercedes-Benz to integrate Bosch Smart Home devices into their own solutions via a cloud API. This new version of the system is all-electric, lighter-weight, and available now for business and regional aviation as well as tactical or military trainer-sized aircraft. The Cabin Pressure Control and Monitoring System helps maintain and monitor the air pressure inside an aircraft. It can be found onboard any aircraft that flies high enough to require air pressurization, including commercial and business jets as well as military aircraft. It regulates the air that is pumped into the cabin of an aircraft to maintain a safe and comfortable environment while flying at high altitudes. It also manages the rate of pressure change to avoid passenger discomfort during climb and descent. This new fourth-generation version of the system is all-electric and has built-in test capability to detect and report any failures or issues, including for the back-up manual portion of the system. Along with the improved system reliability, there is also less system maintenance for the airplane operator. This system further improves sensor accuracy and response rate performance, resulting in more comfortable pressure control. The system can serve a wide variety of aircraft, offering customers the ability to customize the control software to best fit their needs. The entire system weighs less than six pounds, is 30% lighter than its predecessor and has a new and smaller digital controller that allows it to be fit for future upgrades. Honeywell has won a contract with Piaggio Aerospace to provide the new CPCMS for its integration into the new P.180 Avanti Evo aircraft configuration, currently under development. The products will start delivery in the third quarter of 2021 and the first planes with the new system are expected to enter service in the first half of 2022. From the first cabin pressure regulator on the Boeing B-29 until now, Honeywell has over 75 years of experience with pressure control systems, with over 20,000 systems flying globally on aircraft. Honeywell delivered the N95 respirators and disposable, surgical face masks to multiple locations in the U.S. for health care systems, the Federal Emergency Management Agency (FEMA), and the U.S. Department of Health and Human Services. In addition, the company shipped millions of masks to state and local governments in support of their response to COVID-19 and for their personal protective equipment (PPE) stockpiles. Honeywell produces a range of respiratory protection products for workers, including NIOSH-certified N95 masks, flat-fold single-use masks and elastomeric half-masks with replaceable cartridges. By steadily increasing production capacity, the company has the ability to produce hundreds of millions of face masks for health care and other critical needs. In April, Honeywell rapidly started up new N95 mask production operations at multiple facilities in the U.S. The company was able to begin operations in just five weeks by accelerating a process that could normally take up to nine months. The company recently signed a global agreement with Newmont that saw the leading gold miner expand the use of Trakka to manage the workflow generated from its Operations Support Hubs in Perth, Western Australia, and Denver, Colorado. Dingo will provide continuous support to seven connected sites and hundreds of users, the company said in the press release. While Dingo has a partnership with Newmont that dates back more than 20 years, the global Trakka pact is a sign the miner has confidence in the Brisbane headquartered company’s ability to not only deliver condition monitoring solutions for its fleet of mobile and fixed machinery, but also advanced predictive maintenance insights for its operations. Discussing the wider issues associated with fixed and mobile machinery maintenance, Chuck Tollman, Dingo’s VP of Customer Success, said condition monitoring of haul trucks continues to be a focus area for miners. The movie, currently in production, features a mix of cinematic visual effects with live-action elements. The film crew had planned to make the movie primarily using real-life miniature figures. But they switched gears once they experienced the power of real-time NVIDIA RTX graphics and Unreal Engine. Director Peter Hyoguchi and producer Joan Webb used an Epic MegaGrant from Epic Games to bring together VFX professionals and game developers to create the film. The virtual production started with scanning the miniature models and animating them in Unreal Engine. yoguchi and team produced rich, photorealistic worlds in 4K to create rich, intergalactic scenes using a combination of NVIDIA Quadro RTX 6000 GPU-powered Lenovo ThinkStation P920 workstations, ASUS ProArt Display PA32UCX-P monitors, Blackmagic Design cameras and DaVinci Resolve, and the Wacom Cintiq Pro 24. Gods of Mars tells the tale of a fighter pilot who leads a team against rebels in a battle on Mars. The live-action elements of the film are supported by LED walls with real-time rendered graphics created from Unreal Engine. Actors are filmed on-set, with a virtual background projected behind them. To keep the set minimal, the team only builds what actors will physically interact with, and then uses the projected environment from Unreal Engine for the rest of the scenes. One big advantage of working with digital environments and assets is real-time lighting. When previously working with CGI, Hyoguchi and his team would pre-visualize everything inside a grayscale environment. Then they’d wait hours for one frame to render before seeing a preview of what an image or scene would look like. With Unreal Engine, Hyoguchi can have scenes ray-trace rendered immediately with lights, shadows and colors. He can move around the environment and see how everything would look in the scene, saving weeks of pre-planning. Real-time rendering also saves money and resources. Hyoguchi doesn’t need to spend thousands of dollars for render farms, or wait weeks for one shot to complete rendering. The RTX-powered ThinkStation P920 renders everything in real time, which leads to more iterations, making way for a much more efficient, flexible and faster creative workflow. Description
