         What the experts say….
Investment Example ….
      Peter has always liked the idea of owning a share of a small business in his retirement. Having visi-
      tied the platform he is interested in a new public house company looking to invest in his local area
      in the leisure sector. He is impressed with the analysis on the platform and chooses to apply to sub-
      scribe for £10,000 of shares—part of the £100,000 the company is looking for. The company has al-
      ready been trading for 4 months and he is midway in to the tax year so on receipt of his SEIS3 cer-
      tificate from the company he applies to HMRC for his tax rebate that is part of the scheme. He is de-
      lighted when his cheque for £5,000 arrives. He has thus already received half of his investment back
      and still owns shares for the invested amount of £10,000.



Later in the year the investor then sells other assets for a profit ...
                               Peter had invested in a property 5 years ago when his son was at university. Peter
                               paid £200,000 for the property. He decides the property is no longer required and
                               accepts an offer for £220,600 and thus making a £20,600—Peter is able to use his
                               personal allowance of £10,600 but is delighted when his adviser points out that
                               due to his SEIS investment the 28% (£2,800) tax he would normally have had to
                               pay to the government as part of his annual return is waived in the current tax
                               year. The investor thus is able to have an effective 78% of relief on his original
                               £10k investment.
After Year 3 ...
After year 3 there are a number of options.
The lease to the pub may be sold and proceeds and profits realised. The company is liquidated and 13k is returned to
Peter. This is a 30% return on the original stake. Added to the 78% return already received a total return of 108%.
Many business’ may want control back ...and from retained profits may look to buy shares back from investors. This is
totally fine and Peter can choose to accept or reject the offer.
Another option is the whole company is acquired by another pub group for a total of £15k on the initial £10k. Another
great return for Peter.
Peter may choose to be a long term shareholder in the business and can retain his share and be entiled to all dividends.
The important part here is whichever option there is no CGT to pay on the gain.




       Alternatively after 6 Months another round
                             It ‘s clear to see that the decision to take over the lease on the first pub has been a huge suc-
                             cess. 80% of the raised capital has been spent. Under the SEIS scheme the company is now eli-
                             gible to apply for EIS funding—This can potentially be of a greater size. Peter sees the growth
                             potential and opts to put in a subscription firstly for £7,800 which is his effective return and a
                             further £10k. He has paid enough tax in the current year and is able to claim a further 30% on
                             both amounts. On the £7,800 this is another £2,340 in relief—taking the total received to
                             £10,140—more than the original investment. They receive a further £3,000 from the second
                             £10k. Peter now has shares worth their original value (£27,800) and has received back £13,140
                             in relief. When sold in future there will also be no CGT on either tranche.
