 Morgan Lewis advised Itera Oil and
Gas Company on its sale of 49% in the
joint venture (Itera Oil and Gas
Company LLC) to Russian state
company Rosneft.
 Itera Oil and Gas Company LLC was a
joint venture that Rosneft and Itera Oil
and Gas Company created in August
2012 to develop gas fields in the gas-
rich Yamalo-Nenets autonomous region
in the Russian Arctic. Morgan Lewis
assisted Itera with the formation of the
joint venture in 2012.

state development bank
(VEB/Vnesheconombank) on the EUR
1.5 billion offering of Eurobonds.
 "VEB is an important institution for the

 The financing agreements for VTB
Bank's VTB Arena were signed in
Moscow in a recent ceremony attended
by Russian Prime Minister Dmitry
Medvedev and Italian Prime Minister
Mario Monti.
 VTB Bank has borrowed a €500 million
loan for the construction of the stadium,
which has been heralded as one of the
Russian Federation's largest
development projects.
 The stadium will be a focal part of the
2018 FIFA World Cup, which will be
hosted by Russia.

 can potentially play an important role in
re-shaping the global energy landscape.
 In 2000, shale gas accounted for just 2
per cent of US natural gas supplies: by
2012, that had risen to 37 per cent.
 early transition phase and fraught with
challenges hence a very topical subject

the energy industry by breaking up
large monopolies.

shale gas industry because currently it
is estimated that despite large reserves
of shale gas, only a small fraction is

 One of the two big cartels controlling
the potash market has fallen apart after
a leading Russian producer of the vital
ingredient in fertiliser announced its
withdrawal from the group, sending
sector share prices tumbling.
 Uralkali pulled out from BelarusKali
export cartel after it accused its
Belarusian partner of violating an
agreement and selling outside the
partnership.
 Uralkali predicted the potash price
would fall 25 per cent after the end of
the arrangement.

 Following Uralkali’s decision, a
combined $20bn was wiped from the
market capitalisations of seven leading
potash producers.
 With Uralkali selling through its own
trading company and producing at 100
per cent capacity, “we expect the
competition on the potash market to
increase, which will put pressure on the
price that might go to under $300 per
tonne by the end of 2013”
 The outlook for potash is linked to
expected world demand for food and is
being closely watched by BHP Billiton,
the world’s largest mining group by
market capitalisation. BHP is trying to
decide whether to take a substantial
step into the market by committing
billions of dollars to the development
of a mine in Canada.

suspect investment bankers have

manipulation. The sell off stake of
company ahead of bad news that appear
not be public information is strong
evidence of insider trading.
