What is all about Green
Initiative?
● Maximization of Conservation
of natural resources.
● Minimization of consumption of
natural resources
● To maintain Sustainable development.
● To save non renewable natural resources.
● To do away with human intervention.
● To cut the timelines in servicing of
documents.
● To allow paperless compliances by the
companies.
GREEN INITIATIVES IN
CORPORATE GOVERNANCE
● Certification of e-forms under the Companies Act, by
the Practicing professionals.
● video conferencing facility for shareholders.
● Company shall provide video conference facility wherever a
director has given his contention in writing.
● In order to assure a secured platform for E-voting the
MCA has approved two agencies namely NSDL &
CDSL.
● video conferencing facility for Directors.
● Not mandatory for the companies to provide video
conferencing facility.
● However the company must provide details of video
conferencing facility in the notice of meeting.
● Sending Financial Statements, Auditors Report,
Directors Report and explanatory statements
through electronic mail.
● Requirements
● E-mail address needs to be obtained
● Website must be designed to enable easy access
for documents/notices.
● In order to cut timelines and another step
towards Green Initiative it has been decided by
the ROC that all the certificates and standard
letters will now be issued electronically under the
digital signature of the ROC.
● In this regard, Ministry has already developed many
(65) such digitally signed certificates and the same
has implemented under MCA-21. Few of them are:
● Form INC 7 - Application for Incorporation of Company (Other
than OPC)
● Form INC 24 - Application for approval of Central Government
for change of name
● Form FC 1- List of all principal places of business in India
established by foreign company
● And other forms like Certification of incorporation upon change
of state, alteration of object clause etc.,
● In order to cut timelines and another step towards
Green Initiative Application for DIN shall be made
on e-form and the fee payment shall also be made
online and by following this procedure it is
expected to enable allotment of DIN on the same
day.
● The MCA has taken an initiative with respect to
MCA fees since it is found to be a major bottleneck
in delivery of services in respect of offline payment
made by physical challans.
● The Ministry has decided to approve some forms
under STP (Straight Through Process) mode, which will
reduce the documentation work also.
● According to revised guidelines for name availability
an application can be made online with the payment
of applicable fee.
● In order to cut timelines in giving approval, the
Ministry has decided to simplify the procedures and to
give approval online, if the proposed contract has
been approved by the shareholders by way of special
resolutions in a general meeting.(U/s 188).
Benefits of Green Initiatives
● If companies follow the green initiative by servicing of annual
reports through e-mail. my view is supported with simple
calculations :
● Weight of an A4 size paper(210x297mm)= 4.366 gm
● Pulp contained in a 25 m high and 30 cm diameter Pine Tree
= 520 Kg
● Listed companies on Bombay Stock Exchange ~ 5050
● Total Investor Accounts in country ~6 millions
● Total number of Annual Reports required =30204000000
● Assuming each report will have 100 pages
● Total weight of paper used= 1.32 x108 Kg
● Number of trees needed to print that much paper = 256000
Green computing best practices
● Develop a sustainable green
computing plan.
● Recycle
● Make environmentally sound
purchase decisions.
●Reduce paper consumption.
●Conserve Energy.
Develop a sustainable green

●Involve stakeholders to include checklist,
recycling policies, recommendations for disposal
of used equipment.
●Ongoing communication about and campus
commitment to green IT best practices to
produce notable results.
Recylce
1 Dispose e-waste according to central, state
and local regulations.
2 Recycle computers through manufacturers
recycling services.
3 Manufacturers must offer safe end-of-life
management and recycling options when
products become unusable.
Make environmentally sound
purchase decisions
● Purchase of desktop computers, notebooks
and monitors based on environmental
attributes.
●Provide a clear, consistent set of
performance criteria for the design of
products.
● Use sever and storage virtualization that
can help to improve resource utilization,
reduce energy costs and simplify
maintenance.
Reduce paper consumption.
●Reduce paper consumption by use of e-mail
and electronic archiving.
●Use of "track changes" feature in electronic
documents, rather than recline corrections on
paper.
●While printing documents, make sure to use
both sides of the paper, recycle regular, use
smaller fonts and margins, and selectively
print required pages.
Conserve energy.
●Use liquid crystal display(LCD) monitors rather
than cathode rat tube(CRT).
●Use notebook computers rather than desktop
computers whenever possible.
●Power down the CPU and all peripherals during
extended periods of inactivity.
●Power up and power down energy intensive
peripherals such as laser printers according to
need.
