2. §Executive
management is
generally ateam of
individualsat the
highest level of
organizational
management who
havetheday-to-day
responsibilitiesof
managing acompany
or corporation.
§They hold specific
executivepowers
conferred onto them
with and by authority
of theboard of
directorsand/or the
shareholders.

3. § Asthetop manager, theCEO istypically responsiblefor theentireoperations
of thecorporation and reportsdirectly to the chairman and board of
directors.
§ It istheCEO'sresponsibility to implement board decisionsand initiatives
and to maintain thesmooth operation of thefirm, with theassistanceof
senior management.
§ Often, theCEO will also bedesignated asthecompany's president and will be
oneof theinsidedirectorson theboard (if not thechairman).

4. §Also reporting directly to theCEO, theCFO is
responsiblefor analyzing and reviewing financial
data, reporting financial performance, preparing
budgetsand monitoring expendituresand costs.
§TheCFO isrequired to present thisinformation to
theboard of directorsat regular intervalsand
providethisinformation to shareholdersand
regulatory bodiessuch astheSecuritiesand
ExchangeCommission.

5. §Theorganization'schief lawyer. In acompany, the
person holding thisposition typically reports
directly to theCEO, and their dutiesinvolve
overseeing and identifying thelegal issuesin all
departmentsand their interrelation, including
engineering, design, marketing, sales, distribution,
credit, finance, human resources, production, as
well ascorporategovernanceand businesspolicy.

6. §TheChief Operating Officer looksafter issues
related
to marketing, sales, production and personnel. More
hands-on than theCEO, theCOO looksafter day-
to-day activitieswhileproviding feedback to the
CEO. TheCOO isoften referred to asa senior vice
president.

7. §The Chief Visionary Officer is a high-level advisor to the
CEO and other C-level executives. A CVO decides on
the general direction of a company, and has a broad
and comprehensive knowledge of all matters related to
the business of the organization and the vision
required to steer its course into the future.
§The Chief Visionary Officer is generally in charge of
defining corporate strategies, working plans, and often
product ideas. Also has the core competencies of
every other business-executive, which are used to play
a role in performing aspects of the work of other C-
level executives.
