Deputy General Counsel, Commercial Transactions
Lead a practice group of currently nine attorneys within Dominion’s Law Department that is
responsible for providing legal support for the commercial activities of Dominion’s various
business units. The activities supported for each of these business units are as follows:
· Pipeline and LDC Business Units (as of 2011): Provide legal support for the unregulated
commercial activities of Dominion’s pipeline and LDC groups which includes support for
land and operational activities as well as the development and negotiation of natural gas
gathering, processing and fractionation agreements. Additionally, I am Dominion’s lead
commercial attorney on the following Pipeline business unit projects:
- Cove Point Liquefaction Project – a natural gas liquefaction and export project.
Support included the development and negotiation of all customer offtake
agreements and management oversight of the development and negotiation of the
EPC related agreements.
- Farmout transactions – the farmout of Dominion’s Marcellus and Utica acreage.
Support included the development and negotiation of farmout agreements covering
roughly 125,000 lease acres.
- Atlantic Coast Pipeline – an approximately 600 mile natural gas pipeline project.
Support included the development and negotiation of the partnership agreement for
the project and management oversight of the development and negotiation of the
EPC related agreements.
· Commodities Services Business Unit: Provide legal support for all fuel procurement
activities for Dominion’s regulated and merchant generation fleets which includes origination
and trading matters involving coal, natural gas, electric power, oil, solar, wind, emissions and
renewable energy credits. This involves reviewing, preparing and negotiating purchase and
sales contracts for both physical commodities and financial derivative products as well as all
ancillary activities such as transportation agreements, storage agreements, risk management
issues, and regulatory compliance.
· Enterprise Risk Management: Provide counsel in regard to risk management and credit
matters including the review, preparation and negotiation of guaranty agreements, letters of
credit, margin agreements and clearing and settlement arrangements. Provide legal support
for bankruptcy matters and insolvency related issues. Manage litigation matters and
counterparty bankruptcy proceedings in which any supported business unit is involved.

· Unregulated Retail Business Unit (as of 2011): Provide legal support with respect to
Dominion’s unregulated retail marketing arm providing energy and product services to
residential and C&I customers in markets with customer choice.
· Generation Business Unit (until 2016): Provide legal support in the acquisition,
development, and operation of nuclear, fossil fuel, hydroelectric, and renewable electric
generation facilities for Dominion’s regulated and merchant generation fleets. This includes
support for project development transactions; engineering, procurement and construction
contracts; joint ventures and limited liability company operating agreements; and operation,
maintenance, and other agreements associated with generation facilities.

oil. Extensive experience in reviewing, preparing and negotiating energy trading contracts for
both physical and financial derivative products as well as fuel supply agreements,
transportation agreements and other structured products.
· Represented clients on energy transactional matters including acquisitions, divestitures, joint
ventures, energy management arrangements and other energy related projects including the
preparation and negotiation of definitive agreements and conducting due diligence
