PROFESSIONAL EXPOSURE
Practiced as a Junior Advocate, appeared in the High courts, Metropolitan
Magistrate Courts, family courts, handling various cases relating Negotiable
instruments Act, Writs, Criminal Appeals, Patent etc.
Nature of Work:
• Identification of lands, negotiation and finalization of sale of lands
• Providing Legal Opinion for Buying and selling Land, Drafting MOU, JV,
Agreements, Deeds.
• Obtaining Patta, Chitta, Adangal and other related Documents from
Government offices.
• CMDA, DTCP Approvals
• Other labour related issues
Roles & Responsibility
 To obtain the details of the proposed Project from the Project team.
 Negotiate with the Land owners to finalise the terms and
conditions for the purpose of Joint Development
 Coordinate with Secretarial team to ensure incorporation of the
SPV/ Company
 To draft and execute the Memorandum of Understanding( MoU’s)
as the initial understanding with the Land owners for the purpose
of Joint Development
 To obtain all the relevant Title Deeds / revenue records and other
documents with respect to the proposed purchase or development
of the land.
 Legal Due Diligence of the land to be carried out which includes
site visit to analyse the contiguity , nature , accessibility to the
subject, to co ordinate with the company’s external counsels and
obtain preliminary opinion and final opinion.
 To ensure all legal compliances are carried out by the owner of the
land to be satisfied that the land is free from all encumbrances and
the owner is having clear title over the land proposed to be
developed or purchased by the SPV/ Company.
 To draft Sale Agreements/ Sale Deeds in case of outright purchase
of land by the SPV/ Company
 To draft Joint Development Agreements and other agreements such
as Escrow Agreement, Power of Attorneys and any other
agreements in connection with the proposed development of the
land by the SPV/ Company.
 To execute and register the Joint Development Agreements and
connected agreements.
 To assist the project funding team and provide all required
documents, board resolutions, approvals, Encumbrance certificates
etc. related to the project land.
 To coordinate with the bankers counsel, reply all the queries and
ensure compliance of all requirements raised by the bankers
counsel and obtain legal clearance for the project.
 Vet the Financing /Security Agreements to ensure zero risk and
provide comments on the Financing Agreement
 Discuss with the Lenders Counsel on the comments / clarifications
in the Financing Agreement and Security documents.
 To draft Development /Construction Agreement to be executed
with the customers detailing the specification of the proposed
construction of the flat and the terms and conditions for conveying
the right, title and interest in respect of the undivided share in the
Land.
 To draft Construction Agreement/EPC contract with the
builders/contractor to construct the project detailing all the terms
and condition and specification.
 To draft Sale Deed and assist in registration of the same before the
Sub Registrar having jurisdiction conveying the right, title and
interest in respect of the undivided share in the Land or right, title
and interest in respect of the flat along with UDS .
 Draft and execute all agreement related to the business of the
company such as, Project Management Consultant Agreement,
Facility Management Agreement , Maintenance Agreements,
Consultancy Agreement, Operation & Management Agreements,
by-laws for the associations, Security Service Agreements, etc.,
 Agreement for sale, Agreement for cancellation, Termination
Agreement, Lease Agreements for the commercial
space/residential spaces, Renewal of lease, Gift Deeds,
Agreements / Undertakings with the respective authorities to
obtain their services such as BSNL & Electricity Board etc.
 Submission of documents to all the bankers for APF (project
approval) for new projects
 Clarification of legal queries to external Advocates & financial
institution
 Execution of registration of undivided share of land for all the
projects
 Co-ordination with clients for registration of undivided share of
land
 Maintenance of parent documents and plans for all the projects
 Maintenance of original registered documents for the flat owners
for handing over of the same
 Maintenance of copy of sale deeds , Co-ordination with external
Advocate and sort of legal issues
 Maintenance of all project related files and documents to ensure
easy access and safe keeping
 Correspondence to any legal queries/financial institutions/ flat
owners/ any other authorities pertaining to the projects
