addition to marketing for software startups, Tim has worked for a US Senate campaign and taught science in Rio de
Janeiro.

Daniel Bernstein has worked in a number of roles over a twenty year career in high technology, most recently as the
founder and CEO of Sandlot Games Corporation, a leading casual games publisher and developer. Having sold
Sandlot Games to Digital Chocolate in 2011, Daniel started a small games studio and a consulting practice where he
advises larger companies such as RealNetworks and smaller high growth businesses on product development,
strategic initiatives, and M&A opportunities.
Prior to Sandlot Games, Daniel Bernstein held director level positions in companies such as Wild Tangent and
Monolith. An accomplished composer, Daniel also writes music for most of the games he works on.
Daniel holds a BS in Computer Science and an MA in Music Composition from the University of Virginia.

software company in its time, AMI. This Inc. 500 firm, at its peak, was rated by IDC as the fastest growing computer-
related company in the world. He has also been at the vanguard of creative financing and, at one point, raised more
venture capital in a single closing than anyone in history without a lead investor. Through Corum, he has helped

Joel Espelien has worked in a number of roles over a twenty year career in the technology industry. Most recently Joel
served as Senior Advisor to Karmel Capital, where he advised on corporate spin-offs and M&A transactions, including
the private-equity backed purchase of DivX LLC from Rovi Corporation and subsequent sale to Neulion, Inc, as well as
the successful spin-off of Snaptracs, Inc. and its Tagg wireless pet tracking product from Qualcomm and the eventual
two-stage sale to Whistle Labs and Mars Petcare. Joel has also served on the boards of multiple venture-backed
companies resulting in successful exits, including AI startup IQ Engines (acquired by Yahoo) and IoT-for-AgTech
pioneer 640 Labs (acquired by Monsanto/Climate Corporation). Joel has also written extensively on the future of video
in his capacity as Senior Analyst for the Diffusion Group where he published 14 industry research reports as well as a
widely recognized weekly blog.
Previously, Joel was the Chief Business Officer, SVP of Strategy and General Counsel of PacketVideo, a pioneer in the
mobile video market. While at PacketVideo, Joel led corporate development activities, including multiple buy-side
acquisitions in the US and Europe, a groundbreaking technology partnership with Google that helped launch Android, a
private-equity backed MBO and ultimately the sale of the company to NTT DoCoMo (Japan).

executive role. His resume spans marquee companies such as BEA systems, Novell and Borland as well as multiple

Jeff helped form and was President of Severn Trent Worksuite, a FTSE 100 subsidiary, which became the leading
provider of enterprise and wireless workflow management software. Jeff was Vice President at IntelliGIS, a pioneer in

Jon joined Corum in 2010 out of their Seattle headquarters. He has close to 30 years experience serving high
technology companies with the last 20 mainly in chief operating and chief executive roles. During this time Jon has
become known for his ability to successfully integrate strategies and tactics into well executed operating plans, building
strong teams and achieving excellent results.
Jon has served as President and CEO of The PowerTech Group, a security and compliance software company sold to
Help/Systems in 2008, and Microserv Technology Services, a nationwide tech services company which was acquired
by Halifax Corporation in 2003. Earlier he served as President and COO of Traveling Software, a leading developer of
communications software in Seattle. Prior to his operating roles Jon held vice president roles in sales, marketing and
business development for technology companies.

administration degree from San Francisco State University.

Dave joined Corum in 2015 and has a diverse background in technology and life sciences. As an executive and
entrepreneur, Dave has been operating and investing in companies sitting at the convergence of commerce and
eCommerce as well as innovative life science businesses for over 25 years. Recently, Dave was CEO North America
for Gaxsys, an eCommerce and logistics company that is a leader in last mile logistics and fulfillment for eCommerce
marketplaces.
Dave has been on both sides of the mergers and acquisitions table, having sold a life science technology company,

Peter has a diverse background within the software industry spanning Operations, Sales, Mergers and Acquisitions and
Integration. He’s been retained by some of the largest Private Equity firms in an advisory capacity.
Peter has also focused on investing both time and funding into start-up and young companies over the recent years in
a diverse range of sectors.
He attended Chiltern University attaining a business degree and later attended Harvard Business School successfully

Prior to rejoining Corum, Bruce was the Founding President and CEO of Invest Ottawa for 5 years. During that time he
worked with over 1000 technology start-ups, raising over $300m in venture capital and debt, and created over 4,700
jobs. Prior to joining Invest Ottawa, he was Chairman of the Ottawa Software Cluster for six years and Vice President
in Canada for Corum Group.
Before that he held senior technology executive positions including six years as CEO with FreeBalance Inc. an

the company by 300 per cent while moving into new international markets.

and digital markets, including as the founder and CEO of two firms that he led to successful acquisitions. He has been
an executive managing companies in North America, Europe and Asia Pacific.
Marc was the founder/CEO of WebProject, the first team collaboration internet company with the backing of Cisco and
Sun Microsystems. WebProject attracted wide interest, which led to the successful sale of the company to Novient Inc.

  1. Key Message: Tech M&A for 2016 YTD remains strong, just like 2015, a very strong year We can see from the Corum Index how strong 2015 was for tech M&A. Here we see a snapshot the activity from Feb 2015 compared to the same for Feb 2016. In the broader market, the number of deals is down but only slightly for the month. This month to month fluctuation is normal while mega deals are up. The pipeline indices are down while financial buyers and investors catch their breath. Remember though the amount of dry powder (unspent cash) that remains to be invested. The Attributes remain steady, little notable change.

  4. Key Message: Best practice means adhering to a structured, well managed plan   The 8 Stages of an Optial Outcome. The timetable to complete these steps will vary by company depending upon the condition of your financials, your competitive analysis, your business model analysis, financial projections, etc.  
  5. Key Message: Due diligence is detailed confirmation of everything you told the buyer during the discovery process. It’s a comprehensive, full disclosure exercise. Avoid surprises.   Due Diligence is Stage 6. This is probably the toughest stage as this is where deals can die. It can be a minefield since this is where financial statements and projections are verified. If outside advisors or opinions are required to validate claims it’s done here. A confidential data room is established at this point to facilitate the viewing and exchange of technical, legal and ownership documents. A written explanation of your business model and methodologies along with complete copies of definitive agreements are included.   Buyer confidence that they know everything about your company is critical. Their confidence or lack of it will be reflected in the favorable or unfavorable terms and conditions of the Purchase and Sale Agreement. Incomplete disclosure or too many surprises can kill the deal.   Very sensitive diligence tasks like detailed sales forecasts review, customer interviews and trade secrets disclosures are typically handled late in the diligence process after the other tasks have been completed.   If managed properly – this is Confirmatory Diligence. Nothing good ever happens between term sheet and closing. Buyers never say – Oh great this business is better than we thought – let me offer you more.
  6. These are easy to obtain but often overlooked. “I thought he had it,” and so on, and you don’t want this to be a scavenger hunt in the late stages of the deal. As we move forward across all these lists, we’re going to suggest, and we conclude by suggesting some specific data room software packages. You can start compiling this information, aggregating it in one spot, and keeping it updated so when you need it, you have everything in one place.
  7. Audited data since inception: About 50% of firms under $20 in annual or trailing revenue are formally audited, so an accounting report is usually sufficient in most cases.   Most recent three-year projections, monthly sales projections that take into account seasonality, changes in accounting methods for the last three years… Another way to look at these is that you are putting together a buy-my-company manual, or an operator’s manual for your company. What would you like to see presented if you were the buyer, and what would the format be so that you can readily understand what the functional elements are, what the sales channels look like, and so on.  
  8. Tax statements, income taxes for the last three years… again agreements, leases, guarantees, and the last bullet here may be the most complicated to obtain or keep updated, but of course you want to keep all that information up to date, not just the contracts with your suppliers and customers, but with employees as well, and we’ll touch on that in a subsequent slide.  
  9. Copies or permits, reports from government agencies, descriptions of litigation. This, as mentioned, is an issue you’ll want to get on the table sooner rather than later. Often it may not be relevant, but if it is, stage it properly and get it out there early on.
  10. Again, you can be graphical in this, and the more readily conveyed the more it speaks to the quality of the organization you’re running. Comp plans, pension options, profit sharing, retirement, etc. You’ll also want employee IP agreements, there’s nothing worse than finding that it compromised, that’s a deal killer.
  11. IP document as noted, patent filings, details of product offerings, and I think we’ll touch on this more later, but your entire marketing plan as it relates to where you are, what the customers look like, the retention rates, what the top 20 customers represent in terms of revenue, trends over the years, your product roadmap, all that rationale and strategic information, even if it’s in the narrative, anything that you can convey speaks volumes about who you are and how you organize and run your company. That’s what they’re buying.
  12.
