Autodesk, Inc. Announces Fiscal 2020 Third Quarter Results
• Total ARR was $3.22 billion, an increase of 28 percent as reported, and on a constant currency basis.
Acquisitions from the fourth quarter of last year contributed $113 million or 4 percentage points of the growth.
On a sequential basis, total ARR increased 5 percent as reported, and 6 percent on a constant currency basis.
• Subscription plan ARR was $2.86 billion, an increase of 49 percent as reported, and 50 percent on a constant
currency basis. Acquisitions from the fourth quarter of last year contributed $113 million or 6 percentage points
of the growth. On a sequential basis, subscription plan ARR increased 8 percent as reported, and on a constant
currency basis. Subscription plan ARR includes $597 million related to the maintenance-to-subscription (M2S)
program.
• Maintenance plan ARR was $365 million, a decrease of 39 percent as reported, and 40 percent on a constant
currency basis. On a sequential basis, maintenance plan ARR decreased 12 percent as reported, and on a
constant currency basis.
• Core ARR increased 23 percent to $2.99 billion. On a sequential basis, core ARR increased 5 percent.
• Cloud ARR increased 164 percent to $232 million. Acquisitions from the fourth quarter of last year
contributed $113 million or 128 percentage points of the growth. On a sequential basis, total cloud ARR
increased 12 percent.
• Total billings increased 55 percent to $1.01 billion.
• Total revenue was $843 million, an increase of 28 percent as reported, and on a constant currency basis.
Acquisitions from the fourth quarter of last year contributed $29 million or 4 percent of the growth.
• Net revenue retention rate was within the range of 110 to 120 percent.
• Total recurring revenue in the third quarter was 96 percent of total revenue, consistent with the third quarter
last year.
• GAAP operating income was $111 million compared to $15 million in the third quarter last year. GAAP
operating margin was 13 percent, up 11 percentage points.
• Total non-GAAP operating income was $225 million compared to $92 million in the third quarter last year.
Non-GAAP operating margin was 27 percent, up 13 percentage points.
• GAAP diluted net income per share was $0.30, compared to GAAP diluted net loss per share of $(0.11) in the
third quarter last year.
• Non-GAAP diluted net income per share was $0.78, compared to non-GAAP diluted net income per share of
$0.29 in the third quarter last year.

"Our strong performance continued in Q3 as revenue, billings, ARR, earnings and free cash flow came in
above expectations," said Autodesk president and CEO. "We continue to demonstrate the cash generating
power of our business model, and this quarter drove a record last twelve months free cash flow of nearly

Strong Storage, VMware and PC Performance Power Dell
Technologies’ Third Quarter Results
• Third quarter revenue was $22.8 billion, up 2 percent, and non-GAAP
revenue was $22.9 billion, up 1 percent over the same period last year.
• Operating income was $836 million1 compared to an operating loss of
$356 million last year, and non-GAAP operating income was up 18
percent to $2.4 billion.
• Net income was $552 million or 2.4 percent of revenue, non-GAAP
net income was $1.4 billion or 6.3 percent of non-GAAP revenue, and
adjusted EBITDA was $2.9 billion or 12.5 percent of non-GAAP
revenue.
• Cash flow from operations was $1.8 billion.
• Diluted earnings per share was $0.66 and non-GAAP diluted earnings
per share was $1.75.
• Dell Technologies ended the quarter with a cash and investments
balance of $9.4 billion.
• The company repaid approximately $1.1 billion of gross debt in the
quarter and approximately $3.5 billion year-to-date.
• The company has paid down more than $18 billion in gross debt over
the three years since closing the EMC transaction and remains on track
to repay approximately $5 billion of gross debt in fiscal 2020.

F5 to Acquire Shape Security, Transforming Application Security
F5 Networks, Inc. and Shape Security announced a definitive agreement under which F5
will acquire all issued and outstanding shares of the privately held Shape for a total
enterprise value of approximately $1 billion in cash, subject to certain adjustments. Shape
protects the largest banks, airlines, retailers, and government agencies with sophisticated
bot, fraud, and abuse defense. In particular, Shape defends against credential stuffing
attacks, where cybercriminals use stolen passwords from third-party data breaches to take
over other online accounts. Shape has built an advanced platform, utilizing artificial
intelligence and machine learning, supported by powerful cloud-based analytics to protect
against attacks that bypass other security and fraud controls. This acquisition brings
together F5’s expertise in protecting applications across multi-cloud environments with
Shape’s fraud and abuse prevention capabilities to transform application security. Together
F5 and Shape offer organizations comprehensive, end-to-end application security,
potentially saving billions of dollars lost to fraud, reputational damage, and costly
disruptions to critical online services. Shape’s application protection platform evaluates the
data flow from the user into the application and leverages highly sophisticated cloud-based
analytics to discern good traffic from bad. With F5’s location in the data flow of traffic in
over 80% of Fortune 500 application infrastructures, F5 provides the ideal insertion point
for Shape’s security services. Together F5 and Shape will dramatically reduce the time and
resources needed for organizations to deploy world-class online fraud and abuse protection.

Intel Acquires Artificial Intelligence Chipmaker Habana Labs
Intel Corporation announced that it has acquired Habana Labs, an
Israel-based developer of programmable deep learning accelerators
for the data center for approximately $2 billion. The combination
strengthens Intel’s artificial intelligence (AI) portfolio and
accelerates its efforts in the nascent, fast-growing AI silicon
market, which Intel expects to be greater than $25 billion by 2024.
Intel’s AI strategy is grounded in the belief that harnessing the
power of AI to improve business outcomes requires a broad mix of
technology – hardware and software – and full ecosystem support.
Today, Intel AI solutions are helping customers turn data into
business value and driving meaningful revenue for the company. In
2019, Intel expects to generate over $3.5 billion in AI-driven
revenue, up more than 20 percent year-over-year. Together, Intel
and Habana can accelerate the delivery of best-in-class AI products
for the data center, addressing customers’ evolving needs.

Keysight Technologies Reports Fourth Quarter 2019 Results
Fourth Quarter Financial Summary
• GAAP revenue grew 7 percent to reach $1.120 billion, when compared with $1.047
billion last year.
• Non-GAAP revenue grew 7 percent to reach $1.122 billion. Non-GAAP core revenue,
which also excludes the impact of foreign currency changes and revenue associated
with businesses acquired or divested within the last twelve months, increased 7 percent.
• GAAP net income was $195 million, or $1.02 per share, compared with GAAP net
loss of $114 million, or $(0.61) per share, in the fourth quarter of 2018.
• Non-GAAP net income was $254 million, or $1.33 per share, compared with $193
million, or $1.01 per share in the fourth quarter of 2018.
• As of October 31, 2019, cash and cash equivalents totaled $1.598 billion.
Fiscal year 2019 Financial Summary
• GAAP revenue grew 11 percent over last year and totaled $4.303 billion. Non-GAAP
revenue grew 10 percent to reach $4.312 billion. Non-GAAP core revenue grew 11
percent year-over-year.
• GAAP net income was $621 million, or $3.25 per share, compared with $165 million,
or $0.86 per share in fiscal 2018. Non-GAAP net income was $902 million, or $4.72
per share, compared with $618 million, or $3.24 per share in fiscal 2018.
• Keysight acquired approximately 2.1 million shares in the open market at an average
share price of $76.32, for a total consideration of $160 million during fiscal year 2019.
Keysight has $410 million remaining under the current $500 million share repurchase
authorization implemented in May 2019.

exceeding the high-end of our guidance for the quarter. Record-setting quarterly

Logmein Enters Into Definitive Agreement To Be Acquired By Affiliates Of Francisco
Partners And Evergreen Coast Capital For $86.05 Per Share In Cash
LogMeIn, Inc., a leading provider of cloud-based connectivity,
announced that it has entered into a definitive agreement (or the
“Agreement”) to be acquired in a transaction led by affiliates of
Francisco Partners, a leading technology-focused global private
equity firm, and including Evergreen Coast Capital Corporation
(“Evergreen”), the private equity affiliate of Elliott Management
Corporation (“Elliott”), for $86.05 per share in cash. The all-cash
transaction values LogMeIn at an aggregate equity valuation of
approximately $4.3 billion. Under the terms of the Agreement,
LogMeIn shareholders will receive $86.05 in cash for each share of
LogMeIn’s common stock they hold. This consideration represents a
premium of approximately 25% to LogMeIn’s unaffected closing
stock price on September 18, 2019, the last trading day before a
media report was published speculating about a potential sale
process. The Board of Directors of LogMeIn approved the
Agreement and recommended that shareholders vote in favor of the
transaction.

NXP and Marvell Announce Final Regulatory Approval and Expected Close Date for
NXP’s Acquisition of Marvell’s Wi-Fi and Bluetooth Connectivity Assets
NXP Semiconductors N.V. and Marvell announced that all
necessary regulatory approvals have been received for
NXP’s acquisition of the wireless connectivity portfolio
from Marvell. In May 2019, NXP agreed to acquire
Marvell’s wireless connectivity portfolio in an all-cash, asset
transaction. The acquisition will enable NXP to deliver
complete, scalable processing and connectivity solutions to
its customers across its end markets, including tailored
security and a full suite of wireless connectivity spanning
Wi-Fi, Bluetooth, Bluetooth Low Energy, Zigbee, Thread
and Near Field Communications (NFC). The acquisition
includes nearly 600 people worldwide and is expected to be
accretive to NXP’s non-GAAP operating profit in the first
full quarter after the transaction closes.

Rackspace Completes Acquisition of Onica
Rackspace® announced the completion of its acquisition of Onica,
an Amazon Web Services (AWS) Partner Network (APN) Premier
Consulting Partner and AWS Managed Service Provider. The

Slack Announces Record Third Quarter Fiscal Year 2020 Results
• Total revenue was $168.7 million, an increase of 60% year-over-year.
• Calculated Billings was $186.1 million, an increase of 47% year-over-year.
• GAAP gross profit was $145.6 million, or 86.3% gross margin, compared
to $92.1 million, or 87.2% gross margin, in the third quarter of fiscal year
2019. Non-GAAP gross profit was $148.9 million, or 88.3% gross margin,
compared to $92.5 million, or 87.5% gross margin, in the third quarter of
fiscal year 2019.
• GAAP operating loss was $95.0 million, or 56% of total revenue, compared
to a $50.8 million loss in the third quarter of fiscal year 2019, or 48% of total
revenue. Non-GAAP operating loss was $18.1 million, or 11% of total
revenue, compared to a $39.6 million loss in the third quarter of fiscal year
2019, or 37% of total revenue.
• GAAP net loss per basic and diluted share was $0.16. Non-GAAP net loss
per share was $0.02.
• Net cash used in operations was $9.1 million, or 5% of total revenue,
compared to cash used in operations of $28.4 million, or 27% of total
revenue, for the third quarter of fiscal year 2019. Free Cash Flow was $(19.1)
million, or 11% of total revenue, compared to $(43.5) million, or 41% of total
revenue for the third quarter of fiscal year 2019.

“Revenue growth was 60% year-over-year, driven by strong growth
upmarket,” said Chief Financial Officer at Slack. “We ended the quarter
with 821 Paid Customers greater than $100,000 in annual recurring
revenue, which is up 67% year-over-year. We also exceeded 50 Paid
Customers with greater than $1 million in annual recurring revenue for
the first time, an indication that large enterprises are increasingly
standardizing on Slack as their primary collaboration platform.”

Zoom Video Communications Reports Third Quarter Results for
Fiscal Year 2020
• Revenue: Total revenue for the quarter was $166.6 million, up 85% year-over-year.
• Income/Loss from Operations and Operating Margin: GAAP loss from operations for the quarter was
$1.7 million, compared to GAAP loss from operations of $1.1 million in the third quarter of fiscal 2019.
After adjusting for stock-based compensation expense and related payroll taxes, non-GAAP income from
operations for the third quarter was $21.3 million, up from $1.6 million in the third quarter of fiscal 2019.
For the third quarter, GAAP operating margin was (1.0)% and non-GAAP operating margin was 12.8%.
• Net Income and Net Income Per Share: GAAP net income attributable to common stockholders for the
quarter was $2.2 million, or $0.01 per share, compared to GAAP net loss attributable to common
stockholders of $0.6 million, or $(0.01) per share in the third quarter of fiscal 2019.
• Cash: Total cash, cash equivalents, and marketable securities as of October 31, 2019 was $811.4 million.
• Cash Flow: Net cash provided by operating activities was $61.9 million for the quarter, compared to
$18.2 million in the third quarter of fiscal 2019. Free cash flow was $54.7 million, compared to $10.1
million in the third quarter of fiscal 2019.
Financial Outlook: Zoom is providing the following guidance for its fourth quarter fiscal 2020 and its full
year fiscal 2020.
• Fourth Quarter Fiscal 2020: Total revenue is expected to be between $175.0 million and $176.0 million
and non-GAAP income from operations is expected to be between $17.0 million and $18.0 million. Q4
non-GAAP EPS is expected to be approximately $0.07 with approximately 296 million non-GAAP
weighted average shares outstanding.
• Full Year Fiscal 2020: Total revenue is expected to be between $609.0 million and $610.0 million and
non-GAAP income from operations is expected to be between $67.0 million and $68.0 million. Full year
non-GAAP EPS is expected to be approximately $0.27 with approximately 293 million non-GAAP
weighted average shares outstanding.

“Our third quarter was another strong performance for Zoom. Our execution helped drive revenue
growth of 85% with increased non-GAAP profitability year-over-year and free cash flow of $54.7
million. This execution also drove 67% growth in the number of customers with more than 10
employees and 97% growth of in the number of customers contributing more than $100K of TTM
revenue,” said Founder and chief executive officer of Zoom. In Q3, we hosted our premier customer
event, Zoomtopia, with more than 2,600 registered guests, up 80% year-over-year. During the event,

Fujitsu Laboratories Ltd. and Fujitsu Research and Development Center Co., Ltd. have innovated an AI technology for video-based behavioral
analysis. Dubbed "Actlyzer", the tech can recognize a variety of subtle and complex human activities without relying on large amounts of
training data. Deep learning technologies conventionally demand large amounts of video data for training systems to recognize individual
behaviors, and video data must be collected from scratch in order to add each new behavior. This time-consuming process means that it can
often take several months to introduce functional AI into the field. Taking advantage of the fact that human behaviors generally consist of a
combination of basic movements and actions, (e.g. walking, nodding, extending the hand) Fujitsu has created a technology that makes it possible
to recognize more complex human behaviors, including when an individual appears to be acting suspiciously or seems inclined to make a
purchase, by training the AI to recognize about 100 basic actions in advance. Potential use cases for this new technology include automatic
detection of individuals engaged in suspicious-seeming activity, product interest surveys based on recognition of purchase behavior by
customers, and training applications through comparing the skills of experienced and novice workers at factories, to name a few. Actlyzer
demonstrates Fujitsu's continued commitment to delivering exciting new AI technologies with an emphasis on their human centric potential,
offering rapid deployment to business frontlines to contribute to enhanced security, streamlined operations, as well as better workplaces for

Fujitsu Limited announced the Japan launch of a new model in its FUJITSU Server PRIMERGY series of PC servers(1),
the PRIMERGY RX2530 M4p, which features a high-speed virtual switch optimized for 5G(2) communications. The new
model comes equipped with the Intel® Xeon® Gold 6138P processor with integrated FPGA(3) as standard, and includes a
virtual switch for performing packet processing in a virtual network. By including an FPGA with logic circuits designed by
Fujitsu in the virtual switch, the new model delivers packet processing speeds that are roughly 4.5 times faster than a
conventional virtual switch using only a CPU, to offer low-latency, high-speed data transmissions. Going forward, Fujitsu
will leverage this and other technologies to support an ecosystem of new services in the 5G era and contribute to the DX
(digital transformation) of its customers. The ongoing challenge of digital transformation presents enterprises with a number

Inspur launched the MX1 AI System which supports a variety of OAM (OCP Accelerator Module)-compliant AI chips on a single AI server, and is also the first OAM AI

power supply schemes, 12V and 54V, with the maximum powers of 300W and 450W-500W respectively, which can support various AI accelerators with high power

Inspur released an HPC system based on Intel Xeon Platinum 9200 processors in collaboration with Intel. The system supports up to 112 cores, 9.3 TFLOPS of FP64 performance
and 24 memory channels per node, a maximum of four nodes on a 2U server, and on-board liquid cooling. It will provide a cost-efficient, intensive and green supercomputing
platform for global HPC users. With data size and computing load surging, HPC applications need higher operation performance, memory bandwidth and data throughput. Massive
HPC systems present new challenges on intensity and cooling modes of computing devices. The HPC system released by Inspur answers to the increasing demands on computation
performance from massive parallel HPC applications to help HPC users better solve major scientific problems featuring increasingly larger-scale computation. The system, equipped
with the Intel Xeon Platinum 9200 processors designed for intensive computation, supports up to dual 56-core CPUs with built-in AI acceleration fueled by Intel Deep Learning
Boost and 24 DDR4 2933MHz memory banks per computing node. Its FP64 performance reaches 9.3 TFLOPS per node at the maximum, making it the highest-performing
processor in Intel’s 2nd generation Xeon Scalable processor family. Interconnected and scalable through the Intel OmniPath Architecture high-speed network, the system enables
easy cluster expansion to thousands of nodes. It is particularly suitable for HPC, big data, image and video processing, virtual applications and other computation-intensive
scenarios. Tests on a single-node Intel Xeon Scalable 9242 platform show that with 24 32GB of 2933MHz memory, the system can deliver a memory bandwidth of up to 300 GB/s
when running a WRF application; when the system is used to run a VASP application, its memory bandwidth reaches as high as 450 GB/s, with the performance standing at 4,000
GFLOPS. In addition, the system integrates Inspur's ClusterEngine - a cluster management platform, and Teye - a HPC application performance monitoring and analysis system, to
effectively address management and application optimization challenges for massive HPC clusters. Specifically, ClusterEngine enables comprehensive management of HPC
clusters. Teye provides scientific and effective guidance for application bottleneck investigation, application algorithm improvement and parallel computing efficiency increase.

Intel Labs unveiled what is believed to be a first-of-its-kind cryogenic control chip — code-named “Horse Ridge” — that will
speed up development of full-stack quantum computing systems. Horse Ridge will enable control of multiple quantum bits
(qubits) and set a clear path toward scaling larger systems — a major milestone on the path to quantum practicality. Developed
together with Intel’s research collaborators at QuTech, a partnership between TU Delft and TNO (Netherlands Organization for
Applied Scientific Research), Horse Ridge is fabricated using Intel’s 22nm FinFET Low Power (22FFL) technology. In-house
fabrication of these control chips at Intel will dramatically accelerate the company’s ability to design, test and optimize a
commercially viable quantum computer. In the race to realize the power and potential of quantum computers, researchers have
focused extensively on qubit fabrication, building test chips that demonstrate the exponential power of a small number of qubits
operating in superposition. However, in early quantum hardware developments — including design, testing and
characterization of Intel’s silicon spin qubit and superconducting qubit systems — Intel identified a major bottleneck toward
realizing commercial-scale quantum computing: interconnects and control electronics. With Horse Ridge, Intel introduces an
elegant solution that will enable the company to control multiple qubits and set a clear path toward scaling future systems to

by the company in 1979 and was recognized for its innovative achievements in improving the performance of radio telescopes and satellite broadcasting

operate at high speed by creating a two-layer structure that spatially separates the source and travel regions of electrons within the transistor. This feature
enables the transistor to receive weak, high-frequency signals with high sensitivity. In 1985, Fujitsu commercialized the HEMT as a microwave
semiconductor device product with the world's lowest noise level and it was adopted for the radio telescope at the Nobeyama Radio Observatory (NRO) in

Announces Fiscal 2020 Third Quarter Results • Total ARR was $3.22 billion, an increase of 28 percent as reported, and on a constant currency basis. Acquisitions from the fourth quarter of last year contributed $113 million or 4 percentage points of the growth. On a sequential basis, total ARR increased 5 percent as reported, and 6 percent on a constant currency basis. • Subscription plan ARR was $2.86 billion, an increase of 49 percent as reported, and 50 percent on a constant currency basis. Acquisitions from the fourth quarter of last year contributed $113 million or 6 percentage points of the growth. On a sequential basis, subscription plan ARR increased 8 percent as reported, and on a constant currency basis. Subscription plan ARR includes $597 million related to the maintenance-to-subscription (M2S) program. • Maintenance plan ARR was $365 million, a decrease of 39 percent as reported, and 40 percent on a constant currency basis. On a sequential basis, maintenance plan ARR decreased 12 percent as reported, and on a constant currency basis. • Core ARR increased 23 percent to $2.99 billion. On a sequential basis, core ARR increased 5 percent. • Cloud ARR increased 164 percent to $232 million. Acquisitions from the fourth quarter of last year contributed $113 million or 128 percentage points of the growth. On a sequential basis, total cloud ARR increased 12 percent. • Total billings increased 55 percent to $1.01 billion. • Total revenue was $843 million, an increase of 28 percent as reported, and on a constant currency basis. Acquisitions from the fourth quarter of last year contributed $29 million or 4 percent of the growth. • Net revenue retention rate was within the range of 110 to 120 percent. • Total recurring revenue in the third quarter was 96 percent of total revenue, consistent with the third quarter last year. • GAAP operating income was $111 million compared to $15 million in the third quarter last year. GAAP operating margin was 13 percent, up 11 percentage points. • Total non-GAAP operating income was $225 million compared to $92 million in the third quarter last year. Non-GAAP operating margin was 27 percent, up 13 percentage points. • GAAP diluted net income per share was $0.30, compared to GAAP diluted net loss per share of $(0.11) in the third quarter last year. • Non-GAAP diluted net income per share was $0.78, compared to non-GAAP diluted net income per share of $0.29 in the third quarter last year. Executive Commentary "Our strong performance continued in Q3 as revenue, billings, ARR, earnings and free cash flow came in above expectations," said Autodesk president and CEO. "We continue to demonstrate the cash generating power of our business model, and this quarter drove a record last twelve months free cash flow of nearly $1 billion. Financial, M&A Updates IT Shades Engage & Enable Strong Storage, VMware and PC Performance Power Dell Technologies’ Third Quarter Results • Third quarter revenue was $22.8 billion, up 2 percent, and non-GAAP revenue was $22.9 billion, up 1 percent over the same period last year. • Operating income was $836 million1 compared to an operating loss of $356 million last year, and non-GAAP operating income was up 18 percent to $2.4 billion. • Net income was $552 million or 2.4 percent of revenue, non-GAAP net income was $1.4 billion or 6.3 percent of non-GAAP revenue, and adjusted EBITDA was $2.9 billion or 12.5 percent of non-GAAP revenue. • Cash flow from operations was $1.8 billion. • Diluted earnings per share was $0.66 and non-GAAP diluted earnings per share was $1.75. • Dell Technologies ended the quarter with a cash and investments balance of $9.4 billion. • The company repaid approximately $1.1 billion of gross debt in the quarter and approximately $3.5 billion year-to-date. • The company has paid down more than $18 billion in gross debt over the three years since closing the EMC transaction and remains on track to repay approximately $5 billion of gross debt in fiscal 2020. Financial, M&A Updates IT Shades Engage & Enable F5 to Acquire Shape Security, Transforming Application Security F5 Networks, Inc. and Shape Security announced a definitive agreement under which F5 will acquire all issued and outstanding shares of the privately held Shape for a total enterprise value of approximately $1 billion in cash, subject to certain adjustments. Shape protects the largest banks, airlines, retailers, and government agencies with sophisticated bot, fraud, and abuse defense. In particular, Shape defends against credential stuffing attacks, where cybercriminals use stolen passwords from third-party data breaches to take over other online accounts. Shape has built an advanced platform, utilizing artificial intelligence and machine learning, supported by powerful cloud-based analytics to protect against attacks that bypass other security and fraud controls. This acquisition brings together F5’s expertise in protecting applications across multi-cloud environments with Shape’s fraud and abuse prevention capabilities to transform application security. Together F5 and Shape offer organizations comprehensive, end-to-end application security, potentially saving billions of dollars lost to fraud, reputational damage, and costly disruptions to critical online services. Shape’s application protection platform evaluates the data flow from the user into the application and leverages highly sophisticated cloud-based analytics to discern good traffic from bad.
