Extended End User License Agreement This Is A Legal Agreement
1. Extended End User License Agreement
This is a legal agreement (“Agreement”) between Licensee (as defined in the Standard End User
License Agreement) and Unlisted Images, Inc. (“Licensor”). This Agreement details the Extended
License options, and is in addition to the Standard End User License Agreement required by any
party accessing or using Licensor’s Content. The terms and conditions of the Standard End User
License Agreement are hereby incorporated into and made part of this Agreement, which
Licensee hereby approves. By accessing or using the Content for any of the Extended License
options listed below, Licensee agrees to be bound by the terms and conditions of this Agreement.
Following are the Extended License options, for which one or more of the restrictions of the
Standard End User License Agreement have been modified for Licensee’s proposed use of the
Content. Licensee may choose more than one Extended License option, if applicable. Except as
otherwise provided for herein, all other terms and conditions of the Standard End User License
Agreement remain in full force and effect.
Option 1a: Multi-Seat License – up to 5 users
The Standard End User License Agreement is a single-user license which limits the use of the
Content to one (1) computer at any given time. For the purpose of this Agreement, each
additional location shall be considered an additional seat, and each additional individual within
Licensee’s organization shall be considered an additional user. If Licensee selects this option,
Section 3 of the Standard End User License Agreement shall be amended as applicable to allow
for Licensee to access the Content in more than one (1) location and/or permit access to the
Content to additional users, provided such additional users agree to abide by the terms of this
Agreement and provided the combined total of seats and users does not exceed five (5). All
other terms and conditions of the Standard End User License remain in full force and effect,
including all other restrictions from the Restrictions of Use section.
Option 1b: Multi-Seat License – Unlimited Users
The Standard End User License Agreement is a single-user license which limits the use of the
Content to one (1) computer at any given time. For the purpose of this Agreement, each
additional location shall be considered an additional seat, and each additional individual within
Licensee’s organization shall be considered an additional user. If Licensee selects this option,
Section 3 of the Standard End User License Agreement shall be amended as applicable to allow
for Licensee to access the Content in more than one (1) location and/or permit access to the
Content to additional users, provided such additional users agree to abide by the terms of this
Agreement, regardless of the number of seats and users. All other terms and conditions of the
Standard End User License remain in full force and effect, including all other restrictions from the
Restrictions of Use section.
Option 2: Print Run Reproduction – Unlimited
The Standard End User License Agreement limits the print run for permitted print media to a
quantity of less than five hundred thousand (500,000). If Licensee selects this option, the “Print
Media” portion of Section 4 of the Standard End User License Agreement shall be amended as
applicable to allow for an unlimited number of reproductions for permitted print media, provided
that such use is not intended to allow the re-distribution or re-use of the Content. All other terms
and conditions of the Standard End User License remain in full force and effect, including all other
restrictions from the Restrictions of Use section.
Option 3: Physical Items for Resale - Limited Run
The Standard End User License Agreement prohibits use of the Content in items for resale,
2. license, or other distribution. If Licensee selects this option, Section 4 of the Standard End User
License Agreement shall be amended as applicable to allow for the use of the Content in certain
items for resale, as listed below, provided the aggregate quantity of copies of such items does not
exceed the quantities listed below. All such items shall be considered the “Items for Resale”.
a. up to 5,000 of the following items: t-shirts, sweatshirts, hats, or other apparel,
framed or mounted artwork or art prints, books, games, toys, or other
entertainment goods
b. up to 10,000 of the following items: posters, calendars, magazines, mugs, mouse
pads
c. up to 100,000 of the following items: postcards or other cards, stickers, and
paper products
In granting Licensee the right to produce the Items for Resale, Licensor not grant Licensee or any
other party any intellectual property or other rights to the Content. Licensee agrees to defend,
indemnify, and hold Licensor and its parent, subsidiaries, affiliates, and image providers and their
respective officers, directors, and employees harmless from all claims, damages, liabilities, cost,
and expenses (including reasonable attorneys' fees and costs), relating to the Items for Resale.
All other terms and conditions of the Standard End User License remain in full force and effect,
including the restriction that Licensee may not sell, license, or distribute its final product in such a
way that allows others to extract or access the Content as a stand-alone file, and well as all other
restrictions from the Restrictions of Use section.
Option 4: Electronic Items for Resale - Unlimited Run
The Standard End User License Agreement prohibits use of the Content in electronic items for
resale, license, or other distribution. If Licensee selects this option, Section 4 of the Standard
End User License Agreement shall be amended as applicable to allow for the use of the Content
in electronic items for resale, such as electronic templates for e-cards, website templates,
presentation templates, document templates, screensavers, electronic wallpaper, and email
templates, regardless of the number of copies of such items. All such items shall be considered
the “Electronic Items for Resale”.
