2011 has been a resurgent year for the private placements industry.
According to Bank of America Merrill Lynch, more than $13.5 billion in
deals were closed in the first quarter, representing the best first quarter
ever for the industry. Deals did not slow down in the second quarter
with nearly $12 billion in deals circled as reported by the Private
Placement Letter.
For the past quarter of a century, the Private Placements Industry
Forum has served as a meeting place and sounding board for all market
participants. As many issuers, investors, and agents have told me, the
business year doesn’t really begin until the Private Placements Industry
Forum has taken place.
As an attendee, take advantage of sessions in the morning that focus
on issues affecting the entire industry, while using your afternoons
to network with colleagues or attend seminars that will help improve
your decision making process.
There is no better way to strengthen your existing relationships and
build new ones than by convening once again at the 25th Annual
Private Placements Industry Forum, January 23 - 25, 2012 at the
Turnberry Isle in Miami.
I look forward to seeing you in Miami in January.

Dear Colleague,
Issuer Focus: Newly formatted “Turn the Tables” Issuers’
Breakfast allows issuing company executives to question
investors and agents about concerns and challenges regarding
investing and originating deals in the private placement
market. Plus, this year more issuers will be added to the “Issuer
Roundtables” allowing you to connect with more companies,
including those that closed some of the biggest deals in 2011.
Formalized Networking: At your request, we can set up
conference rooms for your afternoon meeting needs. For more
information, see page 3.
Training Modules: Need more knowledge on infrastructure
project finance? Haven’t done a real estate deal in a while and
need retraining? How is the threat of inflation going to impact
consumer prices? Use the afternoon to get perspective and
deeper understanding of sectors in the industry where frequent
capital raises take place. Also improve your amendments,
covenants and due diligence documentation process by
attending a training workshop.
New Sessions: Take advantage of economic trends taking
place globally. Hear from top investment bank economists
on their views of the global economic outlook and corporate
lending in 2012. Learn from legal experts about creditors’ rights
across various global jurisdictions and evaluate the role of direct
origination in private placements.

Sector Training Options
Event participants have a choice of attending one of three different seminars. Sessions begin with experts from specific investment sectors
in private placements (infrastructure finance, real estate, consumer goods) discussing the risk and return profiles of each, followed by private
placement market participants discussing how it relates to the private debt market.
Part 1: Due Diligence Process
• Should investors inquire as to the depth of due diligence
conducted by agents on clients they are bringing to
market?
• Are investors appropriately staffed to conduct due
diligence?
• Do investors feel they are provided sufficient opportunity
by the agents/issuers to conduct proper due diligence?
• How do staffing constraints impact the quality of due
diligence?
Part 2: Documentation 101
• Is there need to consider revising the Model Note
Agreement?
• How should it be changed?
• Should the note purchase agreement be drafted by the
investor’s or isssuer’s counsel?
• Are there risks during the “circling” process that key legal
issues have not been fully vetted and how best to avoid
these problems.
