ARTÍCULO 42. CONCEPTO Y PROHIBICIÓN. (ley 1480 2011)
Son cláusulas abusivas aquellas que
“producen un desequilibrio injustificado en perjuicio del consumidor y las que, en las mismas
condiciones, afecten el tiempo, modo o lugar en que el consumidor puede ejercer sus
derechos”.
Para establecer la naturaleza y magnitud del
desequilibrio, serán relevantes todas las condiciones
particulares de la transacción particular que se
analiza.
Los productores y proveedores no podrán incluir
cláusulas abusivas en los contratos celebrados con
los consumidores, En caso de ser incluidas serán
ineficaces de pleno derecho.
5. JURISPRUDENCIA O LEY
PUNTO IMPORTANTE :
- La Sala de Casación Civil de la C.S.J., en punto a las cláusulas abusivas, ha
precisado que:
“son todas aquellas que aún negociadas individualmente, quebrantan la buena fe,
probidad, lealtad o corrección y comportan un significativo desequilibrio de las
partes, ya jurídico, ora económico, según los derechos y obligaciones.
- La Corte Suprema de Justicia, sentencia del 2 de febrero de 2001, consideró que
cláusula abusiva es aquella que
“favorece excesiva o desproporcionadamente la posición contractual del
predisponente y perjudica inequitativa y dañosamente la del adherente”
6. DOCTRINA
El profesor colombiano Ernesto Rengifo, establece lo siguiente respecto a las clausulas abusivas:
- Cláusula abusiva es la que, en contra de las exigencias de la buena fe, causa en detrimento del
consumidor o del adherente un desequilibrio importante e injustificado de las obligaciones
contractuales, y que puede tener o no el carácter de condición general
- Puede darse en contratos particulares cuando no existe negociación individual de sus cláusulas,
esto es, en contratos de adhesión particulares.
El concepto de cláusula contractual abusiva tiene, prima facie, su ámbito propio en relación con
consumidores y puede darse siempre que no haya existido negociación individual.
Habrá condición abusiva cuando:
-Sea contraria a la buena fe
-Cause un desequilibrio importante entre los derechos y las obligaciones de las partes

Rubén Stiglitz :
“cuyo contenido o elementos esenciales queden al arbitrio del predisponente o las establecidas
en su beneficio exclusivo y en perjuicio del adherente, que comprometan el principio de la
mayor reciprocidad de intereses que contengan la renuncia por el consumidor, sin fundamentos
declarados que lo justifiquen.
Sergio Muñoz Laverde :
“incluidas por regla general en un contrato de contenido predispuesto, establecen, sin
explicación seria, proporción ni razonabilidad, ventajas o prerrogativas excesivas para el
predisponente, o cargas, obligaciones o gravámenes injustificados para el adherente, en
detrimento del principio de celebración y ejecución de buena fe contractual y del normal y
razonable equilibrio contractual”
11. 3. Inviertan la carga de la prueba en
perjuicio del consumidor
12. 4. Trasladen al consumidor
o un tercero que no sea
parte del contrato la
responsabilidad del
productor o proveedor
13. 5. Establezcan que el
productor o proveedor no
reintegre lo pagado si no
se ejecuta en todo o en
parte el objeto contratado
14. 6. Vinculen al consumidor al
contrato, aun cuando el
productor o proveedor no
cumpla sus obligaciones;
15. 7. Concedan al productor o
proveedor la facultad de
determinar unilateralmente si
el objeto y la ejecución del
contrato se ajusta a lo
estipulado en el mismo
16. 8. Impidan al consumidor
resolver el contrato en
caso que resulte
procedente excepcionar el
incumplimiento del
productor o proveedor,
salvo en el caso del
arrendamiento financiero
18. 10. Incluyan el pago de
intereses no autorizados
legalmente, sin perjuicio
de la eventual
responsabilidad penal.
19. 11. Para la terminación del
contrato impongan al
consumidor mayores
requisitos a los solicitados al
momento de la celebración
del mismo, o que impongan
mayores cargas a las
legalmente establecidas
cuando estas existan

Entra a regir a partir del 12 de octubre de
2012>
21. 13. Restrinjan o eliminen la
facultad del usuario del bien
para hacer efectivas
directamente ante el productor
y/o proveedor las garantías a
que hace referencia la
presente ley, en los contratos
de arrendamiento financiero y
arrendamiento de bienes
muebles.
22. 14. Cláusulas de renovación
automática que impidan al
consumidor dar por terminado el
contrato en cualquier momento o
que imponga sanciones por la
terminación anticipada, a
excepción de lo contemplado en
el artículo 41 de la presente ley.
